Taking the challenge of establishing a legal department from scratch had been a great experience through taking the following rules and responsibilities:
1- Conducting all activities related to establishing and registering the companies, entities & NGOs with official authorities.
This includes:
• Provide the owners/ representative of the entity under establishment with valuable advice about the appropriate legal identity for this entity in accordance with the Egyptian companies regulations. This advice will be based on the assessment of the entity needs.
• Assisting the entity in preparing the document required for establishing the entity & Amendment.
• Contacting the official authorities, The General authority For Investment & Free Zones, and The General authority for capital Market in Egypt on behalf of the entity to complete the required work and receive the certificate of incorporation & all Amendments provisions of law.
• Assisting the entity in preparing & authorizing the documents required for informing the General and Extraordinary Meeting and the Company's Board of Directors.
2- Draft and review the corporate documents including minutes of Board of Directors meetings, General Assembly Meetings and coordinating with corporate law outsources in this regard also the establishment of new corporate.
3- Doing work on litigation cases relating to civil law, criminal law and labor law of the company in the courts through the inhouse team.
4- Secure all legal consultations regarding Labor Law and performing official investigations with employees if needed.
5- Doing work related to the licensing of foreign employees at company
6- Liaison between the company and the governmental authorities;
7- Monitor the legality of Bonds and Swap transactions the company entered in.
8- Support financial advisors strategies for existing or prospective projects
9- Draft and review various types of contracts.
10- Drafting contracts and negotiate agreements with customers.
11- Keeping confidentiality of the business matters at all times and not to divulge to any unauthorized party(s).

Being part of the group legal team, managing a large group of companies and giving a regional legal consultation were a great challenge that enhance my legal capabialities and gave me a change to take the following responsibilities:
1- Hold all the group litigation including a group of mega cases with a huge amount (Gas export to Israiel, Export development fund, IMC case and the famouse Egyptian stock exchange case).
2- Responsible for all corporate legal affairs (including establishment of new companies, BODs, GAs, EGAs, POAs, organizing the managers authorities, licenses, permits and other official entities procedures).
3- Introduce legal advises to different departments (Financial, sales and Technical), drafting, reviewing and negotiating all type of contracts in tri-lingual (Arabic, English).
4- Negotiating complex agreements with clients, contractors and partners. Cooperate with the top management to legally enhance the group policies and regulations. Assure the compliance of Corporate Governance and Egyptian Stock Exchange rules.
5- Revise Bid documents as consultant for the legal risks and attached contract.
6- Draft and submit various types of corporate document (General Assemblies -constitutional, ordinary and extra ordinary) and board of directors.
7- Draft and review various types of contracts (Management Contracts, Target Cost Contracts, Value Contracts, Ceiling Value Contracts, Schedule of rate contracts, Continuation Contracts, Operation and running contracts and Service Contracts).
8- Inter-acting with business heads and / or outside clients / suppliers with regard to business transactions, seeking clarifications and highlighting the important topics for discussions and finalizing the agreements/documents.
9- Timely delivery of documents meeting the business needs.
10- Keeping confidentiality of the business matters at all times and not to divulge to any unauthorized party(s).
11- To initiate appropriate action in respect of various legal matters arise out of the business transactions.
12- To provide adequate support in identifying and providing solutions against legal risks in the commercial transactions / agreements of various businesses in the group.
