• Heading the litigation team and indentify best strategy of commercial cases and litigation process of the Group within UAE and throughout the GCC and MENA region, as well as review, modify and confirm the petitions and defensive memos prior to submission to the competent court.
• Review and draft all type of commercial contracts, distribution agreements, and tenancy agreements.
• Draft and serve in-house legal notices addressed to defaulted customers, as well as draft legal response letters to any legal notice addressed to GMG group.
• Manage external lawyers and peruse the legal documents with particular attention to the details.
• Attend expert meetings and ensure that defensive points are correctly reflected in the minutes of expert meetings.
• Enforce favourable judgments until full recovery is completed and update concerned business units.
• Manage the negotiation with defaulted costumers on their payment’s proposal and instalment plans.
• Update Senior Executive Management on the progress of recovery of outstanding amounts granted by court’s verdict.
• Advise on employment issues within UAE, Egypt, GCC with extensive experience on relevant local regulations governing labour disputes in each Country.
• Provide legal advice as and when required by various business unites of the Group.
• Set up new companies and open new branches within UAE, Egypt, and GCC .
• Manage corporate and secretarial requirements related to Company’s article of association, powers granted to the managers and relevant shareholders resolutions.
• Oversee police complaints with regards to any external theft crimes, robbery or breach of trust committed by staff, fraud, forgery, etc.
• Manage real estate rental disputes and represent the Group before Dubai Rental Dispute Centre (RDC).
• Manage any disputes raised by costumers in connection with GMG retails business.
• Draft any legal letters and routine documents addressed to local and GCC authorities.
• Challenge and appeal any fines and penalties imposed by authorities over GCC
Manage external lawyers and follow up litigation process and review the petitions of the cases as well as defense memos prior to submission to the court.
•Review all type of contracts and agreements.
•Handle real-estate litigation related to properties and premises owned by the Company and its Agencies.
•Draft legal routine documents such as notices, letters addressed to authorities, and legal correspondences and liaise with UAE Governmental Authorities
•Provide legal recommendations, and advise on legal matters in accordance with federal laws.
•Advise on the need to amend the Memorandum of Association (bylaw), and modify it as approved by the shareholder through the EGM and obtain the relevant Ministerial Resolution.
•Attend all meetings of Board of Directors, Executive Committee, Audit Committee, Nomination & Remuneration Committee, and Steering Committee and take minutes of meetings and adopted resolutions in both English and Arabic language.
•Arrange all formalities required for conducting the Annual General Meetings “AGM” and Extraordinary General Meetings “EGM” and draft the resolutions approved by shareholders, as well as follow up the enforcement of adopted resolutions.
•Handle and manage the corporate governance requirements in accordance with relevant Ministerial Resolution concerning Governance Rules and Corporate Discipline Standards.
•Verify compliance by the Company and its employees with Laws, regulations and resolutions thereby issued, as well as ensure that internal policies and procedures are in place and implemented.
•Disclose the resolutions adopted by Board of Directors to Securities & Commodities Authority (SCA) & Dubai Financial Market (DFM).
•Point of contact with Securities & Commodities Authority (SCA) and Dubai Financial Market (DFM).
• Draft the memorandums relevant to Civil, Commercial and Labour cases to be presented to the competent courts of all jurisdictions in UAE, and take all necessary actions and procedures in the courts and other governmental authorities to enforce the judgments.
• Handle the real-estate litigation and draft the relevant memorandums in accordance with real-state laws & regulations.
• Draft and review commercial agreements and prepare other legal documents.
• Handle the criminal complaints such as bounced cheques, fraud misappropriation before Police Authorities, Public Prosecution and Criminal Courts.
• Attend Experts’ meetings and update the clients accordingly.
• Assist the firm’s advocates in various cases before courts of all jurisdictions in UAE, and take all necessary administrative procedures in the courts and other governmental authorities for executing judgments and follow up client’s outstanding payments.
• Follow up all administrative procedures related to cases before the Courts of various jurisdictions in all of the Emirates of U.A.E.
