I lead the Corporate Finance team and practice for Bahrain with direction of the Regional Partner. The Corporate Finance vertical provides transaction advisory services to mid and large business houses across transactions, valuation, buy side and sell side advisory and financial restructuring. My key responsibilities include:
• Managing the team, practice and profitability for the region
• Growing the practice and reaching out to new and prospective clients
• Preparing and presenting formal pitches to client and securing new assignments
• Setting approach in line with client expectation at the commencement of every engagement
• Reviewing deliverables, reports and meeting timelines agreed with client

• Financial Restructuring of a group with business interest in retail, food and beverages across GCC
• Corporate and Financial Restructuring of a large construction company
• Financial Modelling, setting KPI’s and areas of performance improvement for marketing division of a large Oil Refinery Company
• Valuation of Companies, Projects across real estate, hospitality, manufacturing, trading and service providers
• Sell side advisory and deal closure for a prominent IT services Company
• Valuation and Buy side advisory for acquisition of a desalination plant
• Financial Diligence and buy side advisory for a car rental business
• Financial Due diligence and buy side advisory for company engaged in servicing industrial products

Part of the Restructuring practice within Transaction Advisory Services which provides creative solutions for addressing any financial or operational stress faced by Corporates.
• Cash Flow Monitoring, Financial Restructuring and Formal Insolvency Process
• Identifying reason for stress through Financial Analysis, peer comparison, industry benchmarking etc.
• Understanding businesses, cash flows and assessing sustainable debt levels
• Preparing and executing debt realignment and complex financial restructuring plans in line with the RBI guidelines
• Liaising and negotiating with lenders on structuring of debt and implementation of debt realignment plans
• Financial Diligence, financial modelling, valuation, preparation of IMs and drafting term sheets
• Running Formal Insolvency Process of Corporate Debtor under newly introduced IBC, 2016
• Overall supervision of Company operations, Working Capital and Liquidity Management
• Raising interim finance for the Company and divestment of non-core assets
• Running M&A process specially sell side mandate and investor on boarding
• Deal closure through transaction structuring, term sheet negotiations, assisting in due diligence and legal documentation and post-acquisition monitoring and transition
• Preparing collaterals in form of Pitch documents, thought leadership, developing & maintaining relationships with corporates, funds, investors, banks and financial institutions
Key transactions:
 Debt Restructuring to sustainable levels for an EPC and Infrastructure Company with debt of USD 1.5 billion
 Feasibility study and Receivable Audit for a leading Jewellery Company with debt of USD 1.2 billion
 Strategic Debt Restructuring and conversion of debt to equity of an Agro processing with debt of USD 230 million
 Financial Modelling, Valuation and sell side advisory for a listed Pharma Company with debt of USD 160 million
 Diligence of a real estate project with area under construction of more than 2.7 million square feet
 Debt restructuring and financing of a landmark real estate project with debt of USD 200 million
 Managing operations, litigations, and various stakeholders of a Pharma Company under Insolvency process

Initially worked in credit appraisal team in Small and medium Enterprises (SME) and then moved in business side of Corporate Lending and stressed assets. Have been fortunate to see the entire cycle form lending to recovery
• Credit Appraisal - Deal Structuring, Detailed Financial & Business Assessment
• Assessment of all types of banking facilities in nature of working capital, term loans, bank guarantees etc.
• Preparation of CMA for Bank’s requirements, financial projections, cash flow, ratio analysis, trend analysis, sensitivity analysis
• Making detailed notes and presentations to senior management to facilitate decision on cases
• Post Sanction - Monitoring performance of company, manage Documentation & Security Creation in conjunction with legal team, ensure fulfilment of pre-disbursement conditions and miscellaneous credit approvals
• Worked with large corporates facing delinquencies along with Investment Banks/Big 4’s for resolution through restructuring, refinancing or divestment
• Worked with agencies to establish viability of business or establishing fraud through forensic analysis etc.
• Making case for initiating recovery and co-ordination with legal team and counsel for executing the same
• Provide intelligence / MIS to the management
Key achievements
 Build a portfolio of USD 35 million over period of 2 years in SME segment with minimal delinquencies
 Assessed WC limits of USD 900 million for a leading jewellery company

I had worked initially in supply chain and then moved into Corporate Finance segment.
• Appraisal of commercial advances such as Term Loan, WCDL, Invoice Discounting & Channel Finance
• Detailed Financial Analysis, Cash flow estimation and trend analysis
• Credit risk assessment: Internal Credit Rating of borrower and facility on CRISIL model
• Recommending Credit facilities, renewal/review of existing accounts
