•Draft, review all legal agreements including but not limited to employment agreements, lease agreements, commercial agreements
•Ensure effective Corporate Governance of the Company worldwide including drafting Board resolutions, Shareholders agreements, POA, appointing and removing Directors, transfer of shares, capital increase, capital reduction
•Incorporate entities in the MEA region (Qatar, Lebanon ...)
•Manage General Data Protection Regulation (GDPR) implementation across the Company and its subsidiaries worldwide and drafting, review and implement all the procedures and policies
•Instruct and manage outside counsels on litigation cases including the legal costs
•Undertake legal research

Baxter is an American healthcare company that provides renal and hospital products worldwide. Baxter MEA (Company) has a strong presence in the region with its headquarter in Dubai, it has over 60 distributors and 5 regional entities.

•Negotiate, draft and review all Distribution Agreements after the split of the Company in 2015 (Baxter/Baxalta) and subsequently the acquisition of Gambro in 2016
•Advise the business on corporate and contractual matters and participate in the risk review process
•Advise the Company and the business units on all legal matters
•Draft, review, negotiate and execution of legal agreements such as Lease Agreements, Distribution Agreements, Non-Disclosure Agreements, Commission Agreements, Supply, Mutual Separation Agreements, Employment Agreements

•Manage OFAC submissions and advice on policies and procedures related to denied parties lists and Export Compliance trade compliance

Global Advocacy is a leading Middle Eastern law firm based in Dubai, which provides local, regional and international clients with a full business law service.

•Draft, review and finalize legal opinions, legal notices and arbitration cases
•Advise clients on corporate and arbitration matters including but not limited to DIAC and international institutional arbitration: International Chamber of Commerce, London Court of International Arbitration included but not limited to construction cases
•Legal research using Lexis Nexis and Gulf Westlaw

•Continual awareness of compliance requirements/ Internal bank regulations & FSA and ensure compliance with the AML
•Update the team with all legislative changes, practices and procedures
