Legal Risk Management •Overall responsible for the company’s legal affairs and regularly provides legal information and practical guidance to the company’s legal affairs. •Provide legal assistance for company’s major policy decisions, advisory services and decision-making recommendations. •Participate in business law involving negotiations and important contract auditing. •Responsible for land transfer and other fix asset transfer •Responsible for organizing the preparations for shareholders meeting and the board meeting, deal with all the procedure and document before the meeting, during the meeting and after the meeting. •Collect sort and archive all the meeting document of shareholders, board of directors, partner’s manager. •Providing legal advice regarding the company services. •Assisting teams with deal risk assessment and risk mitigation •Drafting and reviewing agreements and contracts in English - Arabic such as (Sales agreements, Supply agreements, Non-Disclosure agreements, contracting agreements, lease agreements, contract of adherence & maintenance agreements, employment agreements. •Contract Negotiations: •Review and draft all contracts and agreements or any other documentation such as (construction, sub-contracting, third party, Supply, Sales and Maintenance contracts) where the Company has committed to and assess legal implications that need to be brought to the executive management’s attention in Egypt, Saudi Arabia, Bahrain and Emirates. •Prepare, review and modify contractual instruments to assist and support various business activities in accordance with SRG policy. •Litigation Management: •Drafting and prepare the legal consultations subject to the internal legal matters for the company subject to the operational departments and their projects. •Maintain and liaising the disputes resolution and proceeding the all the litigation and lawsuits. •Representing and defending the company before the jurisdiction courts and pleading.

• • Providing legal advice regarding the IT services and outsourcing agreements, including contract development, review and negotiation
• Assisting teams with deal risk assessment and risk mitigation
• Providing legal advice and strategies in relation to protection of intellectual property
• Providing legal advice in relation to privacy and data protection

• Assisting team in dealing with third party outsourcing consultants and intermediaries
• Assistance on corporate, general commercial, anti-trust, competition, software licensing and commercial and government contracting matters for all Businesses within the regions (Riyadh, Dubai and Egypt).
• Drafting and negotiating complex business agreements and developing legal provisions for standard sales, services, distribution, software license, contract manufacturing, procurement, marketing, joint venture, and other strategic relationship agreements and templates
• Counselling on distribution and channel strategies; advertising, marketing, and other promotional activities
• Managing or coordinating significant disputes, litigation settlements, government agency inquiries, and general management of litigation disputes and outside counsel engagements
• Handling the legal aspects of transactions with customers and agents,
• Representing HP on legal matters and investigations before the government.

•Review and draft all contracts and agreements or any other documentation such as (Supply, Managed Services, Warranty, Sales and Maintenance contracts) in Egypt, Libya and Sudan. (Vodafone, Etisalat, Mobinil, Telecom Egypt, )

•Litigation Management:
•Drafting and prepare the legal consultations subject to the operational departments and their projects.
•Maintain and liaising the disputes resolution and proceeding the all the litigation and lawsuits whether filed against and from the company related to the company activities.
•Drafting all the employment contracts and insure the compliance with local laws

• Drafting and reviewing agreements and contracts in English - Arabic such as formation joint venture agreements, B.O.T contracts, employment contracts, shareholders agreements, purchase and sale stocks agreements, articles of association, franchise agreement, distributorship agreements, lease agreements, lease with option to buy agreements sale and purchase proprieties agreements, gas oil agreements and similar contracts.
• Maintain all companies’ formation such as limited liability companies, sole proprietorship, joint stock companies and international off shore companies.
• Maintain and Proceeding and following all the legal procedures of companies’ formation with the specialized governments in Kuwait
• Advice and guidance to companies in regard to the daily corporate activities, transactions and arrangements, planning of group structuring.
• Legal advice on local and international business laws and disputes.
• Providing sound legal advise on group contracts, leases and legal obligations.
• Participate in legal contracts negotiations.
• Ensuring compliance of all group companies with country legal activities & laws.
• Conducting legal studies, research and analysis.

• Drafting and reviewing agreements and contracts in English - Arabic such as (agency agreements, reseller agreements, contracting agreements, lease agreements, lease with option to buy contracts, franchising agreements, web site development agreements and IT services management agreements.....etc.)
• Maintain and analysis the tenders which the company bid for it and prepare the legal opinion to ensure the compliance the company with applicable laws.
• Maintain, reviewing and proceeding all types of insurance policies, which are required for the company such as (group life, employer’s liability and fidelity insurance.... etc.)
• Drafting and prepare the legal consultations subject to the internal legal matters for the company which are related to the operational departments and their projects.
• Maintain and proceeding all the legal formalities such as (board members meetings, general assembly and extraordinary meetings)
• Advice and guidance to company in regard to the daily corporate activities, transactions and all the related legal matters.
• Convene annual general meetings and board meetings and prepare minutes of the company, ensure corporate compliance with legal and statutory requirements.
• Maintain appropriate share registers for the company.
• Maintain trademark database and establish new trademarks for the Company.
• Interact and maintain relationship with the Ministry of Commerce and Industry and coordinate registration of agency agreements and maintain database of registration certificates.
