English /Arabic /Legal counsel to the Personal Banking of FAB.
•Works as part of the advisory team to protect the Bank from and mitigate against, adverse risk or legal implications.
•Review and advise the E-Dirham agreement with MoF.
•Review all the Arabic /English agreements with all the governmental entities (Abu Dhabi Police -Dubai Police) .
•Review all the Marketing Advertisement Terms And Conditions.
•Advise FAB branches and other department and subsidiaries with legal advice.
•Review and advise all the branches concerning English & Arabic power of attorney’s to encash Cheques.
•Reviewing templates, letters and procedures in Arabic and English.
•Drafting, reviewing & amending ATM contracts and agreements.
•Drafting, reviewing & amending NDA contracts and agreements.
•Provide training to branches and account operation team on how to review capacity and authority in powers of attorney.
•Provide training to branches on how to deal with the Cheques and all the Cheques types.
Commercial Gulf - Commercial
•English /Arabic /Legal counsel to the Global Retail Commercial Gulf Division of NBAD.
•Works as part of the advisory team to protect the Bank from and mitigate against, adverse risk or legal implications.
•Provide legal support to Retail, Personal Banking, Commercial Banking, Wholesale Banking branches and other Departments and subsidiaries with legal opinion.
•Advise NBAD branches and other department and subsidiaries with legal advice.
•Review and advise all the branches concerning English & Arabic power of attorney’s to encash Cheques.
•Review all the account opening documents for all the Commercial companies (Wholesale/ Mid- Market /MNC /Community Banking/SME ), and provide capacity and authority opinions.
•Liaise and manage external counsel, for example, arranging legal opinions for corporate guarantee from different foreign countries eg., Japan, Italy, Oman, India.
•Review Non -Standard Guarantees & Counter Guarantees ( performance guarantee, advanced payment guarantee, bid bonds, warranty bonds) and highlight any risky wording and amend all the necessary clauses locally and international.
•Advise Security & Funds Administration Services with legal opinions regarding sell and buy shares via the PoAs.
•Advise NBAD security with legal opinions regarding sell and buy shares via the PoAs.
•Review and draft bank’s template for our products team such as (liability letter, clearance letter, internal PoA).
•Reviewing templates, letters and procedures in Arabic and English.
•Drafting, reviewing & amending ATM contracts and agreements.
•Drafting, reviewing & amending NDA contracts and agreements.
•Reviewing all the types of agreements for Etihad Guest account product T&Cs.
•Reviewing all the types of agreements for Master Agreements addendum with Ministry of finance.
•Provide training to branches and account operation team on how to review capacity and authority in powers of attorney.
•Provide training to branches on how to deal with the Cheques and all the Cheques types.
•Advise retail business on products including cards, agreements with government agencies.
•Provide UAE Government Relationship Group with legal opinions.
Prepare legal documents including notices, deeds, agreements, and Assignments in relation to Litigation matters.
•Draft, review & amend all types of contracts and agreements especially financing islamic ones, which institute bank’s islamic products for bank internal departments, branches, subsidiaries.(such as murabaha, purchase and lease back, forward lease, istisnaa with its different kinds, master murabaha with its different kinds, mudarabah, in addition to security agreements such as mortgage, property management service agency, undertakings, personal guarantee).
•Perform extensive legal research for various aspects of civil litigation matters.
•Manage and advise business on commercial, civil, and criminal disputes, claims and examine the legal aspects and instruments of disputes to protect and safeguard the interest of the bank and its subsidiaries and review the pleadings, applications and memorandums before submitting it by external lawyers.
•Advising branches on day to day legal queries.
•Manage external lawyers for litigation matters.
Prepare legal documents including, notices, deeds, agreements, and Assignments in relation to Litigation matters.
•Draft, review & amend all types of contracts and agreements.
•Provide the Bank’s branches and other department and subsidiaries with legal opinion in regards of the Bank’s operations while ensuring adequate protection of the Bank’s interests by creating and carrying out certain manners such as providing legal campaign to all Bank’s employees focusing on some legal related areas to banking and finance that should be acquitted with and preparing guidelines to be referenced whenever needed.
