Performing all the acts necessary for the management of the Company, in compliance with the duties established by the applicable legal framework, the articles of incorporation and by the mandate contract signed with the sole shareholder MEAT (Ministry of Economy, Entrepreneurship and Tourism, currently referred to as MEDAT), a provisional mandate, including the delegation of the management of the Company to one or more directors, establishing their remuneration and within the limits established by the General Shareholders' Meeting, on the recommendation of the nomination and remuneration committee and the dismissal of directors; approval of the level of professional liability insurance policies, evaluation of the activity of the general manager, verification of the functioning of the internal managerial control system, approval of contracts within the limits provided by the articles of incorporation, resolutions of the general meeting of shareholders, as well as the applicable legal framework, organization and participation in the General Shareholders' Meeting and implementation of the decisions of the General Shareholders' Meeting, recommendations regarding the distribution of profit and approval of the income budget and expenses, ensuring compliance with the law, protecting the Company's assets and informing shareholders in case of conflicts of interest.
