I was enrolled as Contracts Manager to AREA 60 Project of Masdar in the Republic of Azerbaijan. Together with contracts I also deal with legal part of the project to the extend it can be dealt in-house
Specialized in corporate, contract, commercial and tax law, legal aspects of Oil&Gas and energy industry, M&A, project finance, employment and corporate governance, property/wealth management and structuring, offshore and banking
Assisted consultants and team of the organization by contributing my vision of the management mechanism deriving from the organizational charter "skimpy on the details", developed draft decrees, charters and other documentation of the SOE, shared thoughts on associated risks
Established in November 2000 with a goal of raising awareness among the public on current environmental issues in the oil and gas sector by conducting research to facilitate policy development, building institutional capacity, and facilitating independent dialogue with civil society to help people live more sustainable lifestyles
Review and legal control over transactions, processes and documentation of the operating companies requiring shareholder involvement/approval, compliance and regulatory assistance; estate and trust planning, facilitation of wealth management and transfer in the family office; screened, collected, built up and kept an updated, complete and handy database covering all commercial project, corporate, finance/banking and real estate related information, originated and accomplished number of M&A, venture capital, investment and corporate restructuring projects
Represent the principal company on the Managerial Board constituted in accordance with the Agreement on Investigation, Prospecting, Exploration, Development and Production Sharing for the Garadagh, Chovdar, Goydagh, Daghkesemen Ore-Bearing Areas, Kohnemadan Area and Deposits of the Kurekchay Basin in the Azerbaijan Republic and take decisions, vote on behalf of, and bind the company within the power of the Managerial Board
RedGold Estates Azerbaijan was part of PSA on Investigation, Prospecting, Exploration, Development and Production Sharing for the Gar-adagh, Chovdar, Goydagh, Daghkesemen Ore-Bearing Areas, Kohnemadan Area and Deposits of the Kurekchay Basin in the Azerbaijan Republic. The company was established as an asset holding vehicle
Assessment, review and drafting of all kind of legal documentation encompassing business activities of the company and its affiliates; designed with further implementation number of templates including commercial contracts, documents regulating employment relations, sales and corporate governance, financing agreements, designed and negotiated terms of international trade instruments (APBG. PG and LC), EPC(S)
Specialized in contract, banking, employment and property law providing comprehensive DD analysis and reports. As off-counsel of the firm, involved in number of projects including sale of the local brewery: responsible for analysis, advice and reconciliation of all Azerbaijani law related issues as local legal expert of the seller
As the only one lawyer in the organization responsible for all legal issues as well as origination and implementation of the relevant documentation and processes for continuous operations of the University encompassing proper arrangement of employment relations typical for educational organization, commercial contracts, regulatory assistance etc.
That was my first experience in the commercial sector after work for the government, where I faced with real legal work and all the inconsistencies and controversy of the newly adopted legislation of Azerbaijan. I will palter if say that my contribution was too valuable for the company’s needs if not opposite - the company, closely involved in circulation of privatization cheques and options, engaged in securities trading and bidding at the government auctions, gave me an opportunity to grow up as a professional and love what I am doing for the recent 20 years
I joined the Ministry as an intern a year before graduating the University. My area of responsibilities covered review of draft foreign credit agreements on financing of vital spheres of the Azerbaijan economy, draft conventions on avoidance of double taxation, BITs to be signed by the Government of Azerbaijan with foreign governments. I was responsible for analysis of the contract on “Reconstruction of Sumgait Chemical Factory (EP 300)” financed by Japan EXIMBANK and Nichimen Corporation.
