Responsibilities:
General Scope
 Provide leadership to the department team members to ensure efficient and effective management of staff and resources.
 Provide legal advice on the formulation of business policies to ensure compliance with regulatory requirements and mitigation of legal risks.
 Monitor the legal and regulatory environment, including changes to laws & regulations that may affect operations of the Group or any part of it and proactively advise the senior management to ensure compliance.
 Extend assistance and advice where requested to facilitate and coordinate the implementation of the various policies of the Corporate Governance Framework.
 Monitor legal, regulatory and contractual compliance with the corporate governance framework to report any non-compliance and accordingly ensure appropriate and timely action is taken.
 Support contract negotiations with Clients, Suppliers, and External Lawyers of other parties with a view to secure business interest, ensure the favorable risk allocation and shield the business from any unaccounted risks.
 Advise and guide the senior management team on legal matters, licensing, or registration issues and participate in contract review and negotiations to ensure that the best interest of the Group is protected/ secured.
 Oversee the development of policies and procedures for legal document control; ensure that the Legal function serves as the custodian of all legal documents and ensure policies to track all legal documents at the corporate.
 Ensure that contractual relationships are properly documented.
 Facilitate the development of standard contract templates and maintenance of a database of all legal documentation to ensure that the Group‘s interests are well protected
 Liaise with external legal counsel to obtain independent advice on legal matters including Commercial Law, Property Law, and Regulatory Laws; facilitate pre-trial work and manage risks associated with the external legal representation.
 Assess advice on, and negotiate all disputes affecting the Group; oversee representation in court cases/disputes with assistance from external advocates to assure that the Group‘s legal interests are fully protected.
 Assist the Executive Director, Legal with the day-to-day management of the legal department, including budgeting and forecasting, technology migration, hiring, performance evaluation and management of external law firms
 Assist the Executive Director, Legal with corporate governance, Board of Director-related and compliance responsibilities.
