Responsible for ensuring compliances under SEBI (Foreign Portfolio Investment) Regulations, 2019, SEBI Circular IMD/FPIC/CIR/P/2018/61 dated April 5, 2018 and Foreign Exchange Management (Non-Debt Instruments) Rules, 2019 (as amended) w.r.t. Foreign Investment in India in case of listed Indian (BSE, NSE, MSEI, CSE) companies. Dealing and coordinating companies for obtaining data/ document/information. Critically analysis stock market transactions submitted by Custodians and Authorised Dealer banks, grouping and clubbing of FPIs for group monitoring to prevent breach of FDI limits. intermediaries of daily foreign investment inflow and outflow, position of Indian listed companies in Breach and Red Flag / Caution list. Proposing and developing new projects under SEBI (Substantial Acquisition of Shares and Takeovers) Regulations and SEBI Circular w.r.t. Framework for issue of Depository Receipts.
Provided compliance related services to small and medium companies w.r.t. Companies Act, 2013 and other labour laws related matters. Review of legal documents like loan agreements, Non Disclosure Agreements (NDA), Sale Deeds, Memorandum of Understanding (MOU), Consultancy Agreement, etc.
Worked as a full time Company Secretary, responsible for compliances under the Companies Act, 2013, due diligence and statutory audit. Drafting and review of legal and policy documents such as Distributor Agreements, Hypothecation Deed, Composite Deed for Loan, ESOP policy, Sexual Harassment Policy, etc. Replying to critical notices and assessment queries to Income Tax Dept., GST Dept.
