Provide legal advisory on a strategic level to help the board in decision-making, and managing the top confidential files.
Identify and consult on legal risks associated with business expansion and product development plans.

• Drafting and negotiating NDAs, PPAs, IPPs, supporting environmental permits, drafting and negotiating agreements to comply with the minimal work obligations established in the relevant concession agreements, supporting corporate affairs, among others.
• Prepare and/or review and negotiate contractual claims and counter-claims;
• Guide and review of the contracting regulations;
• Training the subordinates and national staff;
• Draft, review or supervise the preparation of agreements relating to major business of the company;
• Negotiate major agreements on behalf of Company with contractors, purchasers, service providers and financiers with the aim of safeguarding Company’s interests;
• Provide legal advice to Company in relation to Company activities to ensure compliance with national legislation;
• Provide advice related to the impact of national legislation on Company’s activities;
• Draft, review or supervise the formation of model agreements;
• Provide legal advice with regard to claims and interpretation of agreements.
• Mergers and acquisitions, corporate structuring and restructuring, corporate governance, initial public offerings, private placement transactions, due diligence and the establishment of a large public and private entities.
• Draft & review various types of corporate agreements including, but not limited to: franchise agreements, distribution agreements, management agreements, loans agreements, property sale and purchase agreements, employment agreements, share purchase agreements, shareholders’ agreements etc.
• Advise major international and local companies in commercial, corporate and labor laws.
• Assist clients in the negotiation of their prospective business opportunities.
• Conducted legal due diligence on companies and drafted the legal reports and memoranda relating thereto.
• Worked and provided legal advisory on various corporate related matters including incorporation of various types of companies, joint-stock, limited liability, offshore, holding and drafting corporate minutes such as shareholders’ assemblies and board of directors.
