I’m currently the Chief Legal & Compliance Officer of the huge conglomerate Hayel Saeed Anam (HSA), HSA is composing of 58 companies, with around 17, 000 employees and working in the Cement, Pharmaceutical, FMCG, logistics, trading and Oil & Gas services. He is heading a team of 42 lawyers and compliance specialists.
Managing a Mid-Size team of 18 lawyers serving 85 Companies inside and outside Egypt, responsible for all corporate legal affairs (including establishment of new companies, BODs, GAs, EGAs, POAs, organizing the managers authorities, licenses, permits and other official entities procedures), introduce legal advises to different departments (Financial, sales and Technical), drafting, reviewing and negotiating all type of contracts in tri-lingual (Arabic, English & French), negotiating complex agreements with clients, contractors and partners. Cooperate with the top management to legally enhance the group policies and regulations. Assure the compliance of Corporate Governance and Egyptian Stock Exchange rules.

DRAFTING:
- Reviewing and drafting of contracts/agreements in multi fields (Services, Supply, Consulting, purchasing, Labor, Marital, MOUs, NDAs, Contracting, Agency and Shareholders).
ADVISING:
- Providing legal advices concerning all parts of the business including contracting, services, consulting, purchasing, corporate, construction and company functions.
NEGOTIATIONS:
- Coordinating settlement of disputes with third parties including operators, contractors, suppliers, and partners internally and externally.
- Negotiating non-complex contracts and participating in negotiations for higher complexity contracts.
LIAISON:
- Preparing instructions for and monitoring external lawyers for new companies Setup in Tanzania, Burkina Faso, UAE, Niger, Algeria, Ghana, Guinea, Kenya, Iraq, Kuwait, Sudan, Libya, Saudi Arabia, Monte Negro, Senegal, Tanzania, Madagascar and Qatar.
- Liaising the organization departments, functions and legal process internally and externally to assure proper application of policies.
- Validate and obtain approvals (as required) for engagements around MEA.
-Draft contracts based on input from the business using standard templates/options; draft subcontractor agreements with both French and English languages.
-Negotiate contracts terms with customers
- For applicable non-standard contractual terms/options liaise to various support functions (legal, finance, tax, etc)
- Procure Oracle and customer signatures.
- Enter and maintain certain contract information in the ERP System.
- Verify accuracy of data and maintain project funding and billing according to contractual terms.
- Monitor project status and report to management on any issues identified.
- Provide month end close reports to management.

1- SPDC (Sokhna Port Development Company) this company instituted under law no= 8 for investment, is granted a concession agreement with RSPA Red Sea Port Authority for 25 year under B.O.T system for managing and operating the Sokhna Port. Also the concession agreement includes another agreement concerning investments in this area with licenses for many projects.
2- Royal Maritime: Its field of work is Maritime transportation and customs procedures.
