Corporate and Corporate Insurance
• Advising numerous clients on joint venture arrangements with UAE sponsors, drafting scheme of arrangement documents;
• Advising on various UAE and DIFC company incorporations and branch establishments;
• Assisting a major global insurer in its acquisition of a Lebanese insurer, drafting ancillary transaction documents and liaising with client's in-house counsel and management regarding appointments, regulatory filings and ad hoc matters;
• Coordinating a team in preparing the Middle Eastern due diligence aspect of the sale of an Insurance Manager to a UK special purpose fund;
• Assisting with the termination of a joint venture between a UK underwriter and UAE insurance company in the Dubai International Financial Centre, drafting revised Articles of the JV company and documents to effect the share transfer;
• Undertaking due diligence and preparation of the due diligence report for a Qatari insurer in respect of its acquisition of a Qatar-based investment manager from a Singaporean holding company;
• Drafting numerous agreements for a joint venture project between a major global health insurance provider and a Saudi Arabian insurer for the provision of health insurance in various Middle Eastern territories;
• Assisting a healthcare service provider in the Middle Eastern scheme of a global arrangement with a major European insurer covering Europe, Asia and the Middle East for underwriting and claims handling of health insurance, including the scheme's subsequent expansion from the UAE into Qatar and Bahrain;
• Assisting with the intra-group share sale of an international healthcare provider's Bahrain operation;
• Advising a major Japanese reinsurer in respect of its collaboration with a Saudi Arabian Broker and Insurer for the purpose of accessing the Saudi market; and • Advising a major Middle Eastern insurer on various non-disclosure agreements and MOUs.
Corporate (Corporate Finance):
General corporate matters, including M&A due diligence and disclosure, drafting of basic agreements and ancillary documents, composing incorporation documents, instructing and liaising with foreign correspondents and clients.
Corporate (Insurance):
Drafting commercial distribution and appointed representative agreements, providing regulatory advice on FSA (FCA) regulatory issues and conducting reviews of policy wordings, terms of business and of general insurance contracts.
Outsourcing, Technology & Commercial:
Drafting outsourcing agreements, coordinating the due diligence review and clarification phase in a £800 million Ministry of Defence procurement project, conducting contractual analyses for outsourcing renewals, composing RAG reports during contract negotiations and preparing industry briefings.
Secondment to Zurich Insurance Company:
Acting on and advising the Centrally Managed Business team (unsupervised) in the sale of a subsidiary insurance company, managing and overseeing disclosure for and attending a professional indemnity dispute mediation and providing regulatory and contractual advice to the business on various matters.
