Corporate legal affairs:
Act as the legal focal point for Orange Egypt strategic/mega projects; e.g Orange and WE National Roaming agreement of 2022 with respect to all legal aspects, starting from the offer submission for the RFP and upto the conclusion of the final agreement notwithstanding the conclusion of all necessary internal governance procedures.
Dispute Settlements:
Assets the off- counsel in arbitration disputes: documents/correspondences collection and categorization, review of statements before submissions, drafting settlement agreements and conclusion of internal governance procedures.
Compliance:
Conduct compliance due diligence reports for all Orange vendors.
Review third parties compliance policies and insure their compliance with all Orange compliance policies.
Communicate with top management and update EXCOM members, of compliance progress, necessary focus or actions needed and any updated policies.
• Provide legal advice and support to legal issues.
• Manage legal process, litigations and business transactions.
• Analyze and identify legal risks and implications.
• Draft, review, negotiate and administer legal and transactional documentations.
• Developing forms and templates for business initiatives.
• Coordinating and reviewing of contractual terms and conditions with business unit executive staff.
• Liaise with external legal counsel and/or specialists.
• Handle ad hoc assignments.
• Keep management abreast of all new laws and regulations that may have implications to the Company.
Renewal, amendment, formation, termination and restructuring of all existing contracts.
Assist in providing legal opinion on a major projects.
As well insure the application of the internal polices and regulations.
