Managing, advising on and resolving the various legal matters relating to BankMed
and GroupMed companies business and projects, in particular the group’s real estate
projects.
• Liaising and working closely with BankMed legal department for the purpose of
resolving all legal aspects of the group’s real estate projects.
• Advising on setting up real estate projects in Lebanon, property, acquisition real estate
development, and commercial transactions relating to real estate projects.
• Preparing, submitting and following up on all requests submitted to Med Properties in
relation to the company’s projects.
• Drafting and reviewing the group’s contractual agreements, joint ventures, consultancy
and service agreements etc.
o Working on various employment matters for the group.
• Receiving outside parties intending to enter into business relationships with
BankMed’s clients and participating in negotiations with outside parties along with
operating managers until a conclusion and a contractual position is attained.
• Supporting the various departments in Bankmed and Group companies in their
relationships with the escrow agents and the governmental authorities when legal
complications arise.
• Advising on property management issues.
• Drafting and negotiating complex business-related agreements, including memoranda
of understanding, joint venture agreements, distributorship agreements, franchise
agreements, agency agreements, trust agreements, etc.
• Acting as a key participant in the group's leadership team and advising on matters
relating directly to the group's corporate governance, business operations and public
policies.
• Managing, monitoring and advising the external litigation counsels appointed by the
Bank and its subsidiaries.
• Developing preventive law strategies, corporate policies and compliance programs to
help minimize litigation and third party disputes.
• Drafting and negotiating various types of agreements in relation to the real estate
sector in Lebanon, exclusive and non-exclusive distributorship agreements, labour and
contractors’ contracts.
• Establishing and registering all types of companies related to GroupMed, and
preparing various memoranda of association and by-laws for all types of companies, in
addition to trade mark registration with the Ministry of Commerce in Lebanon and
other related governmental and private institutes.
• Preparing and managing general assembly meetings and drafting all required
resolutions and minutes of meetings and registering them with the Register of
Commerce in Beirut, Lebanon.
• Performing other related duties as assigned.

Working on various arbitration cases, regarding commercial and telecommunications
legal disputes; preparing all the paper work and attending all arbitral sessions.
• Managing and supervising numerous real estate, press, penal and administrative court
cases against private and governmental bodies in Lebanon.
• Managing and supervising court cases relating to the old and new Lebanese Tenancy
laws, preparing various legal paper works including the basic legal notices, briefs, and
comments on reports presented to the courts by real estate appraisers and experts, in
addition to attending all related appraisal sessions.
• Preparing numerous legal research papers regarding money transfer regulations, bank
accounts, money laundering.
• Preparing briefs, complaints, petitions and notices, concerning copyright laws,
defamation, calumny, bankruptcy, embezzlement, fraud, labour laws, inheritance and
wills regulations.
• Conducting extensive legal researches and consultations.
• Managing various types of lawsuits, preparing all required documentation, and attending
more than 700 court hearings before various first instance courts, courts of appeal and
courts of cassation in Lebanon.
