• Lead DCM transactions commencing from origination, oversight of documentation preparation, syndication and ultimately closure, settlement and issuance of securities;
• Liaise with credit risk, corporate banking and treasury teams to provide an underwriting commitment where needed;
• Structure Sharia compliant issuances (i.e. Sukuk) for regional corporates and financial institutions, and was part of the team that issued the first Basel 3 Tier II Sukuk in KSA for NCB. I have also created a new structure for a debt advisory deal to overcome issues with commitment fees for revolving facilities, which has become an industry standard;
• Liaise with various other teams within the bank to ensure compliance with local regulations, including KYC, AML, regulatory filings, etc.;
• Engage with investors on an ongoing basis to understand their investment preferences in terms of tenor, structure and credit quality, which is critical during the pitching phase with clients and later on during the syndication of the transaction;
• Lead syndication and selling of the transaction to quality investors;
• Ensure cross-sell of equity capital markets, debt advisory and treasury products, where applicable, and incorporate a hedging first right of refusal within the DCM mandate letters;
• As part of the investment banking team, I am also heavily involved with debt advisory transactions and have successfully lead several transactions including the financial modelling, information memorandum preparation, and syndication to banks, giving a good relationship with various banks in the region;
• Prepare teasers/pitches, offering circulars/prospectuses, financial models (for securitisation and debt advisory deals) mandate letters and internal credit approvals; and
• Assist in the drafting and finalisation of the legal documentation.
