• Drafting legal memorandums to be submitted at competent courts in UAE in several kinds of cases (commercial, civil, real estate and Labor cases) and courts (Primary, appeal and cassation)
• Manages all legal and relevant litigation work including attending the meeting of appointed experts for the several kinds of case (real state, banking, commercial and civil case)
• Providing proactive legal assistance and advice on various legal issues like commercial contracts, dispute resolution, legal actions, regulatory, employment, and governance.
• Draft and review of all types of commercial and civil contracts, advise the management concerning business transactions, claim liability, advisability of prosecuting or defending lawsuits, or legal rights and obligations. Negotiate settlements of civil and commercial disputes.

• Draft and review of all types of commercial and civil contracts, advise the management concerning business transactions, claim liability, advisability of prosecuting or defending lawsuits, or legal rights and obligations. Negotiate settlements of civil and commercial disputes.
• Review, draft and negotiate all required legal documentation in relation to all types of banking & finance and M&A transactions, including facility agreements, loan agreements, other finance documents, guarantees, undertakings, security documents, powers of attorney, acquisition agreements, shareholder agreements, corporate documents, and all other related and ancillary documents.
• Drafting or amending the legal documents (e.g board resolution, Memorandum and Article of Association of the Company) as required.
• Review and approve the Account Opening Documents and other related documents required at the start of relationship with financial institutions or during the course of normal business.

• Advise and supervise registering new companies in different jurisdiction as per requirement. The Legal Advise include providing client with legal requirement, renewal requirement report, and liabilities of management by contract and law, drafting POA for partners and employees.
• Help clients make better deal decisions by performing due diligence, assessing performance improvement opportunities and providing a post-acquisition agenda.
• Outsourcing legal services and liaising with external counsels to plan claims strategy and outcomes.
• Assisting the business in compliance with all various legal requirements.
• Attending to corporate matters including incorporation of companies, restructuring, secretarial support for the meetings of Board of Directors and shareholders
• Providing advice on employment contracts, contractor agreements and marketing agreements
• Providing advice on all legal issues relating to the business in terms of interpretation of contracts, liabilities, legal procedures, internal policies.
• Ensures the best adherence to legality in business activities and protect the company's legal interests.
• Ensure good methodical management of legal work for the company and provide legal assistance to all departments in claims, preparation and transmission of the necessary documents external counsels.
• Providing legal advice and support to all the company's divisions.
• Drafting, negotiating and/or vetting commercial contracts relating to joint ventures, distributorships/franchises, leases, mergers and acquisitions.
• Attending Primary court hearings (and doing the preparation beforehand)
