- Assisting the management and finance team on the Initial Public Offering of the company: Review of the business plan and preparation of the data room in collaboration with the Financial Consultant and the Law firm.
- In charge of restructuring of the information, accounting system and the financial department.
- Responsible of the selection and implementation of an Enterprise Resource Planning System.
- Setting up a costing system in collaboration with the engineers and the Cost Controller.
- Preparing the consolidated financial statements of the group.
- Supervised a team of eight accountants including the chief accountant, the AP/ and A/R accountants, the cost controller and the treasurers.
- Responsible for quarterly and annual submissions to the DFSA and for all regulatory matters and capital adequacy requirements.
- Working with the front office team on deal sourcing, financial modeling, and reviewing prospective investment accounts with contributions on legal reviews, negotiation and structuring.
- Monitoring investee companies (development of periodic internal management reporting, follow up and analysis of the budget versus actual figures).
- Managing all administrative and back-office operations with a focus on annual budgeting, financials, payroll, monthly cash management, internal audit…
- Carried out due diligence on potential clients, business partners and service providers required by the Compliance Officer.
- Created and implemented key operating procedures and manuals including the business plan, finance policy, HR manual and business continuity plan and various IT and software selection.
- Managed all financial, accounting and administrative operations of Swicorp Dubai (Management Company) and the two off-balance sheet funds (Intaj Capital, Joussour and EmergeInvest) as well as their special purpose vehicles.
- Prepared cost analysis and cost allocation by producing monthly cost dashboards for senior management.
- Responsible for budgeting, production of monthly management accounts and for quarterly reporting to the Board of Directors.
- Undertook fund administration activities including timely invoicing, collection and follow-up of the Fund’s billing (capital calls and management fees) and maintaining legal records.
- Responsible for year-end statutory reporting and for financial statements completion for various companies (IFRS and Saudi’s SOCPA standards) as well as assisting external auditors.
- Worked on the quarterly investor reports template in line with the EVCA guidelines and coordinated periodically with the PE team members on the build-up of the reports.
- Monitored investee companies; development of periodic internal management reporting, follow up and analysis of any variances.
- Implemented the private-equity specialized software “Accounting Framework Limited” which encompassed all front and back office activities as well as monitoring of portfolio companies.
- Assisted the Group Compliance Officer in assessing compliance and anti money laundering of the Dubai office (administering procedures and maintaining relevant records on permitted activities, training and competence, rule breaches, conflict management, marketing material and DFSA correspondence).
- Assigned to other Swicorp’s departments and other affiliates i.e conducted due diligence missions of sisters’ companies (review of internal control system, accounting system and reporting, and assisted in financial modeling and production of a prospectus for a private equity fund raising.
- Participated in over 30 engagements with PwC, including being in-charge / acting manager on more than 15 engagements. Mandates included blue-chip firms and multinational companies covering various industries (oil and gas, Pharmaceutical, Real estate, Hospitality, FMCG, Government entities, Associations, …)
- Drafted engagement letters, planned audit programs and setup missions’ schedules and kick off meetings.
-Planned the technical accounting and financial issues, summarized and prepared analysis reports, participated in the wrap-up meetings, and prepared the statutory audit report and the audited consolidation packages.
- Reviewed and tested internal control procedures and drafted management letters presenting weaknesses and recommendations.
- Managed teams of 2 to 5 auditors: mentored team members, supervised and reviewed the team’s work, and completed performance reviews.
- Prepared consolidated accounts of various clients.
- Worked on due diligence including limited reviews of financial statements, reviews of the main contracts and identification of hidden risks and liabilities, analysis of the business plan, consolidation of the groups account etc.
- Participated in an ad hoc team on fraud detection and fraud risk assessment.
- Organized and animated “GO Audit 2004”; training and introduction of the PwC methodology seminar for the new team members.
