TRX City Sdn Bhd is wholly owned by the Malaysian Ministry of Finance and serves as a strategic national real estate development company. It is the master developer of Tun Razak Exchange (Kuala Lumpur's new Central Business District) and Bandar Malaysia, a 486-acre urban development in Kuala Lumpur. Reporting to SVP, Investments and CFO, my key responsibilities are:
- Assessing and advising on pre-Investment, post-Investment and inclusive of divestment strategies on all matters relating to feasibility, cash flow management, forecast and managing returns to stakeholders through developing of financial modelling and scenario analysis.
- Performing market research, analysis and reports pertaining to economic, social and legal implications which give impact to the potential investment and existing investment in Joint Venture.
- Proposing and securing various business venture with potential partners and investors through negotiation on commercial and business terms. Negotiating banking facilities terms and conditions as well as preparing mandates, term sheets, business plan and Investor / Information Memorandum.
- Monitoring and analyzing the performance of investments and preparing periodic reports for JV management committee, BoD and shareholders.
Pembinaan Redzai Sdn Bhd (PRSB) is both a family office and the largest corporate shareholder of Westports Holdings Berhad (Westports). Job scope in the nutshell relates to special projects and strategic investments:
- Advising Westports’ Chairman regarding direct investments in SMEs for PRSB, as well as originating investees
- Preparation of Westport’s corporate exercise:- acquisitions, Sukuk and equity capital raising
- Conducting research and investment appraisal of special projects for PRSB and Westports. Analyzing various business ventures with potential partners and presented to both Managing Director and CEO of Westports
Investment Banking roles include origination, structuring, advisory and arranging for Aljazira Capital’s Debt Capital Market (Bank AlJazira SAR 2b sukuk), Equity Capital Market and Mergers & Acquisitions transactions. The scope also includes arrangement of club deal debt financing, acquisition finance and Project Finance (capital raising of both debt and equity private placement for Public Private Partnership (“PPP”) and BOT projects) as well as preparation of credit application papers for Wholesale Banking, custody of IDB securities, due diligence and financial modelling:
- Targeting Saudi corporate clients, in the origination, structuring and arranging sophisticated, customized and innovative financial solutions in accordance with Shari’ah principles
- Prime responsibility for lead or co-lead managing capital market issuance for capital increase, general purpose or specific project finance needs
- Prime responsibility for conducting due diligence and developing financial models as might be needed. Liaison with Technical Consultants for due diligence, Auditors for financial due diligence, Shari’ah Advisors for compliance in structuring and Solicitors in undertaking legal documentations
- Prime responsibility for negotiating terms and conditions of the issuance or sale
- Prime responsibility for preparation of mandates, term sheets, teasers, business plan and Information Memorandum or Offering Circular and execute the transactions to financial institutions and investors
- Preparation of road shows, presentations and marketing materials
- Supporting other functions i.e. preparation of offers, valuation report and prospectus or Private Placement Memorandum
- Making submissions for approval to authorities in ensuring compliance
- Development and maintaining of Investors Consortia and placement of Transactions in co-operation and co-ordination with other Business Units at Aljazira Capital
- Engage in business development to originate and market possible Investment Banking solutions across the Saudi market
- Coordinates the submissions of business proposals, offers and presentations to clients
- Enhance the pipeline of transactions with special focus on visible deals to strengthen market recognition
- Drive cross selling to higher elevations with Bank Aljazira Corporate Banking Group
- For capital structure recommendation, I need to conduct risk assessment, screening and feasibility study on projects’ investment appraisal and financing arrangement requirements
- Coordinating with technical consultants for due diligence; Shari’ah consultants, solicitors and financial firms for advice; investors and financial institutions for private placement and financing arrangements
- Giving input to the management through researching market conditions and development
- Preparing proposals, execute and market the corporate finance transactions
- Structuring financial models: Public Private Partnership (“PPP”) or Private Finance Initiative (“PFI”)

- Preparation of investment term sheet, Private Placement Memorandum, Information Memorandum and undertaking legal documentations
- Involved in local and international debt markets for Sukuk and syndicated deals
