o Implement commercial, legal and contractual strategies for the business, which are consistent with the long term interests of company.
o Participate in Project Monthly Forecast meeting in order to support the effort to determine the forecast at Completion as early as possible in the project
o Monitor and analyze project performance as per the contract, recommend corrective actions to the project management team to improve project performance
o Highlight risk issues where relevant, and seek ways to mitigate risk through innovative solutions.
o Control the Contracts Management System including standardized contracts, calendars that include milestones of drawing up and execution of new contracts, activities within the contract life cycle, management for any problems, claims administration to cope with any non-adherence with contract, expiry date, renewal, payments
o Draft/evaluate/approve contracts, such as commercial, labor, financial, dealership, data privacy, procurement, construction, maintenance, merger and acquisition contracts, investment contracts, bank contracts, etc… with principals, employees, financial institutions and all second party institutions in order to ensure compliance with applicable laws and regulations and protect the Group’s interests and assist in contract negotiations.
o Advise Senior Management and the Board in formulating corporate legal compliance and regulatory policies.
o Provide legal support to the various departments/business units by assisting in and responding to queries related to legal matters, and interpreting laws related to employee relations, service level agreements, outsourcing, data protection, labor, commercial, customers, and legal firm relations.
o Provide factual legal analysis; write reports, assessments and recommendations to management to ensure full compliance with the applicable laws and regulations.
o Manage the protection of the Group’s intellectual property rights including registration of trademarks locally and internationally and copyright and institution of proceedings where appropriate
o Perform management responsibilities to include, but are not limited to: involved in hiring and termination decisions, coaching and development, rewards and recognition, performance management and staff productivity. Plan, organize, staff, direct and control the day-to-day operations of the department; develop and implement policies and programs as necessary; may have budgetary responsibility and authority
o Develop the Division’s annual budget and ensure all employees are working within the assigned budget by setting the required targets and responsibilities.

o Provide contractual analysis and interpretation on project commercial issues and drive to successful resolution and closure
o Responsible for identifying and analyzing legal issues; negotiating and drafting key documents; writing, reviewing, and editing reports, opinions, correspondence, articles, RFP (Technical & Financial Proposals), Tenders, Contracts, and other documents, presenting clear recommendations to HBA Executive Committee
o Maintain oversight of project closeout reports and analysis and work with Project Controls and Commercial to ensure that cost and productivity factors are recognized for use in future bids
o Preparing and submitting reports periodically to the Executives; identify any problems encountered with HBA ’s compliance and the recommended solutions
o Research and evaluate different risk factors regarding business decisions and operations; apply adequate risk management techniques and offer proactive advice on possible legal issues
o Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust; advice on issues of conflict of interest
o Draft and solidify changes to legal documents, orders, resolutions, contracts, memorandums to ensure HBA’s full legal rights
o Assist in preparation, reviewing and decision-making on the claims submitted by bidders in respect of the protests submitted on procurement decisions
o Participate in the development of the execution strategy for projects to improve operational effectiveness and project profitability
o Ensure Project Compliance to status reporting requirements
o Support Project Management Standards Guidance
o Obtain a good level of understanding about Project Management Standards and help cascade the same to Project Management Community
o Help HBA Committee during project life cycle for successful delivery of the projects and within the approved constraints.
o Manage the Country projects so that is follows the current plan, identify in advance any blockages which may disrupt progress and either help resolve them before they impact the Project, or by exception escalate them to COO and CIO
o Work with stakeholders for collating country needs/asks, co-coordinating alignment with group programs and executing the regional prioritization process
o Help Project Director during project life cycle for successful delivery of the projects and within the approved constraints
o Provide communication, tracking and project status reporting to relevant stakeholders

o Develop corporate legal strategy to promote and protect KGL (Logistic, Investment, Port Management and Car Rental…)'s matters, lead internal audit and corporate compliance programs, overseeing delivery of legal services and resources to accomplish corporate goals, strategies, and priorities
o Review and preparing pleadings and arbitration materials; attend mediations, arbitrations, hearings and other judicial or tribunal appearances; and provide overall litigation strategy and direction
o Advise CEO and other senior corporate officers on a variety of issues, participate in the formulation of general management policy as a member of the executive management team
o Provide a wide range of corporate services, including mergers and acquisitions, corporate restructuring, corporate advisory, SLA, commercial contracts, and corporate advisory, TMT / IP including family businesses.
o Responsible for corporate disclosure and compliance with state corporation laws, stock exchange listing standards and CMA reporting and compliance, legal requirement to comply with AML and the bylaw/Regulations
o Drafting & preparing all supported documents to international commercial Transactions & joint operating arrangements (KGL - US. Army)
o Ensure that Health and Safety policies are fully implemented ((Lifting Operations and Lifting Equipment Regs), Drafting &Implement the code of conduct, as well, Quality, Health, Safety and Environmental international standards
o Supervise, undertake, investigate the incidents involving KGL’s interests, such as formulating reports to detect causes, liabilities, and the preventative measures following any kind of accidents
o Support in choosing the type of company, drafting of corporate documents, contracts, and the necessary assistance in the performance thereof, setting up companies, structuring capital, restructuring corporate governance, implementing changes to the legal structure, setting up joint ventures, and managing tax and real estate issues.
o Support IPO Process by drafting or reviewing engagement letter, letter of intent, underwriting agreement, registration statement, prospectus and ensure that all process are complying with the applicable laws and regulation and adhere with the competent authorities
o Control the Contracts Management System and review the terms and conditions of all ‎existing and new contracts to ensure company’s standard terms and conditions and ‎protect the company’s interests and supervise and participate in execution projects such as KGL Heavy Lift transports Over-Sized Sour Water Stripper & Seal Drum & transferred desalination units to Iraq

o Research, analyze and provide sound legal advice on legal and compliance matters related to existing and evolving financial products and services
o Draft, review, update, and negotiate foundational documents for products and services (e.g., customer agreements, terms of service, regulatory disclosures, etc.), as well as partnership agreements with merchant clients and third-party technology service providers
o Review multi-channel advertising materials for compliance with laws and central banks regulations and best practices
o Monitor the evolving regulatory landscape for changes that may impact Citizens Pay’s lending, finance and payments products
o Advise senior management and functional partners on risk issues and help to devise practical approaches to their mitigation
o Collaborate with other members of the Citizens Legal and Risk teams to leverage internal subject matter expertise on product, payments, labor and employment, intellectual property, privacy, and cyber security, and integrate input into FinTech solutions
