Basic Function & Scope
Plans, manage and participate in the provision of a full range of legal, corporate affairs and contractual services in the Company. Including without limitation:
1- Providing a wide range of legal services relating to disputes and court matters as counsel representing the Company before courts, legal committees, labour offices, arbitral tribunals and other judicial bodies.
2- Providing legal advice and opinion on different matters such as contracts, insurance, international law and corporate issues.
3- Ensuring proper representation of the Company before courts, labor offices, legal committees, arbitral tribunals and other judicial bodies.
4- Planning, supervising and ensures concluding professional local and international contracts and agreements, through participating in negotiations, developing standard terms & conditions to be used by user departments and discussing different legal requirements with concerned departments prior to signature.
5- Participate with concerned departments in preparing submission and responses to various governmental bodies.
6- Monitor the progress of legal transactions and carry out contract management in support with other departments to ensure that correct actions are taken at the appropriate times.
7-Liaise with external lawyers representing the company and ensure they are well prepared and supported to act in the best interest of the Company.
8- Conduct and participate in investigations related to violations committed by employees and recommend appropriate disciplinary action.
9- Keep abreast the Company management on laws and regulations promulgated in the State of Sudan and to take proactive measures in ensuring compliance with legal developments.
10- Advise the company on a broad range of regulatory and compliance matters including identifying areas of risk and making suggestions for improvement.
11- Monitoring possible areas of compliance risk and suggesting implementation of corrective actions plans for the resolution of current and potential problems.
12- Keep custody of all original legal documents including but not limited to contracts, agreements, MoU's, etc.
13- Participating and assists in the corporate affairs such as Board & Shareholders affairs and corporate issues..
14- Keep custody of all Board, General Assembly and Management Committee documents including share register and share certificates.

14- Act as the Corporate Secretary of the Company and coordinate arrangements for meetings of the Board, General Assembly and management committees to ensure that they are properly organized and conducted, and those minutes are accurately recorded and circulated.
15- Prepare and circulate resolutions and minutes of the Board, General Assembly and committees to all relevant parties and take any necessary follow-up action to record progress on these.
16- Keep custody of all Board, General Assembly and Management Committee documents including share register and share certificates.
Legal Counsel, Ministry of Justice, Sudan, working in various governmental bodies, including seven (7) years as Legal Advisor in Legal Department of the Ministry of Petroleum & Gas (Sudanese Petroleum Corporation), from August 2002 - August 2008.
Basic Function & Scope
Providing a full range of legal, legislative, corporate affairs and contractual services for governmental bodies. Including without limitation:
1- Handling all legal disputes, preparing memoranda of claims against other parties and responding to claims made against the government bodies, supervise and also represent the governmental bodies at court hearings, tribunals, arbitration proceedings and judicial proceedings involving the government bodies.
2-Providing legal advice to the management and various departments of the government entities on all legal issues.
3- Negotiating, preparing, drafting and reviewing transactional documents, including but not limited to contracts, agreements, joint venture agreements MoU's, Oil & Gas upstream and downstream agreements, tender documents, insurance, finance documents relating to the work of government bodies.
4- Developing, reviewing, drafting and communicating regulations, policies and procedures for various government 's bodies to ensure legal compliance.
Post-graduate Diploma in Translation ( English-Arabic)
Completed a session in Automated information Systems over 24 weeks with grade Very Good.
