1-Supports and Coordinates compliantly all stuff levels of the Company in all legal topics and requirements in relation with running of three companies (Schneider Electric Egypt, Schneider Electric Distribution, Delixi Electric Egypt) business in Egypt in accordance with the Local Law rules and the three Companies Policies (Global Policies)
2- Creating, Drafting, Translating and revising, Legal assessment of all types of contracts (international & Domestic) /standardizing all types of Contracts with the GlobalLegal team
3- Legalizing all of the Board of Directors Minutes and Regular or irregular General Assembly Minutes of the company on General Authority for Investment
4- Notarizing and publicizing all Documents that will be needed for running of the company's business .
5- Representing the company in submitting and following police records and Judicial claims, if any .
6-renewing Schneider Badr Plant's Operating License and Industrial License certificate after their expiration .
7-Handle all the matters of modifying any basic information in the legal statute or the commercial register before all of the concerned authorities “General Authority for Investment GAFI & Chamber of Commerce”.
8- Study all types of claims & file lawsuits before courts of 1st instance
9 - join and handle pre-litigation negotiations
Provided Legal Advices to Salman Group management as well as Group companies & subsidaries which are working different industrial and commercial fields, Printing field, loss estimation field, Construction field, medical field, Industrial field “ i.e.: rubber belts, medical utilities, …etc.”, Real Estate field, Administrative consultation field.
- Joined again as a legal counsel with the same job description as beforein addition to new roles including:
1- On June 2012:
- Nominated by Schneider Global Legal Department to take a legal training in IPO contracts in France “Grenoble the capital of Schneider Electric Industries” in order to be able to handle the IPO contracts with the Global Legal Department.
2- Joined the Global Corporate Legal Dept. located in France in reviewing, drafting, creating, giving legal advice in all IPO “IT” Global Contracts which are to be signed on behalf of the Mother company in order to purchase IT Services and software from international companies like Microsoft, SAP, ….etc. and then sublicense all of the rights gained under such contracts to Schneider Electric Industries Affiliates all over the world, i.e.: China, USA, Middle East, ….etc.
3- Giving Legal Advices to Schneider KSA & Yemen branches and following all of their critical legal aspects with my Legal team after adding this zone to the scope of work of our legal department .
4- Handle the Legal Assessment of Huge amounts contracts related to Schneider Egypt & NEA and KSA - Yemen, in coordination with the Global Risk Management team in Schneider .
5- Created A legal Library for both Schneider Egypt & KSA - Yemen
6- Follow-up all of the IP matters with corporate concerned persons in : -Global registrations on World Intellectual Property Organization “WIPO” for Schneider TMs & Industrial Designs and covering our entire zone member states on WIPO “Egypt, Ethiopia, Djibouti, Sudan, KSA & Yemen”
- Prepare all License agreements between the mother company and the said affiliates
7- Joined in standardizing & updating Schneider Electric sales and purchasing terms and conditions that is to be including in all of our agreements, according to the common law rules, local law rules of the entire zone member states and the commercial of each state.
- Supports and Coordinates compliantly all stuff levels of the Company in all legal topics and requirements in relation with running of Technical Procurement Department business in accordance with the Local Law rules and the Company Policy .
-Revise, draft, translate and create different types of legal documents, i.e.: different types of Subcontract forms "Installation subcontracts, Maintenance subcontracts, Supplying subcontracts, Design - Build subcontracts, Build subcontracts, …etc",
-Ensure on concluding all Legal Documents with the Suppliers & Subcontractors on back to back basis with the Main Contract concluded with each Projects Owners
-Negotiate with the Suppliers & the Subcontractors any Legal Concerns in connection with the performance of any Subcontracted works.
-Track all the Legal documents that are in connection with the Technical Procurement Department course of business in a detailed tracking system including all the stages and the data of each Legal Document issued by the Technical Procurement Department .
-Made Research in FIDIC Contracts, Discussing many points in such concern, i.e.: Fidic Contracts Releases and the uses of each Release Since the release of the 1st Edition of the Red Book on 1957, until the release of the Subcontract Red Book on 2011,
-Made a field Search on Different Orascom Construction Sites with Projects Managers, Engineers, Contracts Administrators, Technical Offices, … etc in order to find out with them the Material Risks that may face them with in the course of the Contractual relation ships between us and the Subcontractors that are not covered under our forms of Legal Documents that needs to be covered by suitable clauses
-Made an update process to the Technical Procurement Department Forms of Subcontracts according to the international forms of contracts
