Providing legal and corporate services, mainly focused on investments and development real estate projects in the UAE, France, Monaco (direct subordination to the UBO). Responsibilities include:
-Drafting and negotiating complex commercial and corporate agreements and other legal documents (SPAs, SHAs, NDAs, lease agreements, services agreements, construction contracts, employment agreements and others);
-Carrying out transactions for the acquisition and sale of real estate assets in the UAE and Europe;
-Establishment of companies in the UAE and Europe, full business launch;
-Management of the companies in the UAE and Europe;
-Assessment of legal risks when acquiring company shares, real estate assets;
-Development of an optimal tax structure for doing business in Europe;
-Opening of the bank accounts and passing KYC/ AML procedures;
-Selection, organization and supervision of the external consultants and other staff’s work;
-Preparation internal reports and other documents as required.
Providing advice on various legal issues within the Family Office of Investment Fund;
-Drafting, reviewing and analysing agreements and other legal documents;
-Preparing summaries of contracts highlighting key risks;
-Full support of Real estate sale and purchase transactions;
-Legislative sanctions monitoring;
-Analysis and risk assessment for the business/owner due to sanctions;
-Coordinating and monitoring regulatory filings and rulings;
-Passing KYC/ AML procedures of the foreign banks and other services providers;
-Communication with foreign banks: legal support of money transfers, opening/close bank accounts;
-Cooperation with foreign consultants;
-Preparing internal reports and other documents as required.
-Legal support of business and assets in Russia, France and Switzerland;
-Running services and providing advice on various legal issues within the Family Office;
-Advising on real estate transactions (sale/purchase, lease, construction contracts);
-Legal support of construction projects abroad (France, Switzerland);
-Coordination of the work of lawyers in different jurisdictions on different issues of personal property;
-
Preparation of memorandums dealing with various issues of foreign legislation;
-Employment and migration law (labour agreements, optimisation of hiring of staff abroad, dismissal of staff including a court procedure in France, preparation of internal policy, consultations on different labour issues such as:
the payment of 13th salary, bonuses etc.);
-Family law;
-Interaction with internal departments on finance, management and
construction;
-Conducting and participating in negotiations with subcontractors, employees;
-Daily cooperation with foreign consultants, notaries.
-Drafting of contracts and managing due diligence in real estate;
-Preparing projects and legal consultations for clients based on issues of: tax and family; real estate transactions; foreign exchange regulation;
-Analysing legal systems and creating summary documents and briefs for partners;
-Participating in establishment of legal entities in France;
-Preparing corporate documents and conducting business meeting with clients;
-Liaising with colleagues and attorneys from the French subsidiary office.
-Research of issues in French & Russian law based on requirements of ASTEY
partners to assist with their client consultations;
-Legal research regarding controlled foreign companies;
-Preparation of draft letters in Russian, English and French;
-Compilation of presentations;
-Translation of legal and commercial documents.
