Serve as General counsel Globally and act as company's main attorney and primary source of legal advice to Sunbulah Group by providing expert and strategic legal advice in all maters including its affiliates, subsidiaries & minority investment inside and outside KSA, Sound legal risk assessment, and representing Sunbulah group on all legal fronts through Evaluating and weighing impacts of any strategic decision or course of action, ensure protecting Sunbulah against legal exposure and liability and facilitate business decision making:
Set the legal strategy and objectives, as well as develop and execute plans to identify areas of improvements, assess overall performance and make technical recommendations and risk management advice on legal issues and risks. Lead the development of the legal function policies, systems, processes and procedures to ensure the consistent application and ease of operations for subordinates.
Provide advisory to the Chairman on Board and shareholders affairs and related decisions along with setting, attending and providing professional guidance to the general meetings and corporate governance.
Lead the legal assessment and execution of new business Joint ventures, acquisitions / mergers (M&A’s), by conducting the necessary legal due diligences on new business opportunities, acquisitions, mergers and provide legal advices to Sunbulah’s leadership / stakeholders, negotiating and finalizing the transactions agreements (SHA, SPA, etc, , ) and creating the legal structure of the new businesses.
Advising executive, senior management on various matters after considering the new and existing laws. Provide legal advice and recommendations to guide Sunbulah Group on important legal matters with the decision-making process to safeguard and protect the legal interests of Sunbulah Group against any legal liability.
Lead, oversee & follow-through with respective Sunbulah’s business units’ stakeholders & on critical legal issues to provide legal advice when required and support the business units in taking related decisions or operations to protect Sunbulah against legal exposure and minimize liability with supporting the business growth and continuity.
Leading on establishing, drafting & updating the standard contracts and or forms/ applications.
Leading & managing registration of trademarks inside and outside KSA, oversees on their registration, expiration, renewals, infringements, and cancelations and make the necessary arrangements and procedures to overcome disputes and problems associated with trademarks.
Leading & providing advise/ consultation on employment and labor issues.
Lead & provide legal consultation to Global business matters with Suppliers & Distributors such as contracting and legalization of commercial agencies within KSA and legalization of distributors appointment outside KSA for Sunbulah Group.
Lead the preparation and review of contracts, agreements and documents for all type of contract i.e (external procurement, Franchise, licensing, leasing, banking, Sales, Distribution, Commercial agencies etc). to ensure the completeness and correctness of documents according to the laws in the KSA or relevant country(s),
Represent or manage and appoint legal representative(s) to represent Sunbulah in legal disputes and cases at different legal authorities in and outside the KSA, attend court proceedings, prepare legal documentation and act as main liaison to ensure the effective legal presentation of Sunbulah in all legal issues.
Identify areas of legal risks and prepare necessary measures to rectify similar situations and communicate risks to concerned parties to ensure supporting the decision-making process and mitigating possible legal risks.
I joined Sunbulah, which at that time did not have a Legal Department. Accordingly, I was alone handling all legal
matters. I formed the company’s Legal Department and built the legal team.
