• Independently structured and closed all debt facilities end-to-end — from mandate through financial close —
with full accountability for lender relationships, documentation and compliance.
• Closed 5 debt facilities totalling AED 1, 750Mn across residential and hospitality assets: AED 600Mn (SIB),
AED 600Mn (Mashreq), AED 350Mn (DIB), AED 170Mn (DIB), AED 30Mn (ABK) — spanning new
development, refinancing and equity release.
• Across all five facilities: prepared financial models, debt schedules, cash waterfalls and lender presentations;
reviewed term sheets and facility agreements; built sensitivity and stress-test models for interest rate and
construction delay risk; managed drawdown mechanisms and periodic reporting for development facilities.
• Served as senior transaction team member on AED 1, 200Mn hospitality asset sale structured as a locked-box
transaction; reviewed SPA and leakage provisions, provided recommendations to CFO on key commercial
terms; liaised with Latham & Watkins on transaction matters.
• Served as senior transaction team member on AED 1 10Mn joint venture with Omniyat for acquisition of an
existing asset; reviewed SHA (governance rights, exit provisions, drag/tag-along, capital call mechanisms),
SPA and Disclosure Letters; provided recommendations to CFO and coordinated all due diligence
requirements.
Strategic Finance
• Conducted feasibility study and financial modelling for a 1, 100-villa residential development in Sharjah —
including return projections and stress-testing of key assumptions — which underpinned the AED 600Mn SIB
financing decision.
• Prepared asset-level and group HO management reporting packs covering actuals vs. budget vs. forecast;
presented findings and recommendations directly to CFO.
• Managed group HO treasury and working capital (~AED 150Mn); optimised idle cash through fixed deposit
placements and coordinated bank cash releases to fund new investments.
• Negotiated and executed facility amendments with lenders across live debt facilities; managed all ongoing
lender relations including covenant compliance, compliance certificates and periodic financial reporting
obligations for the duration of each facility.
• Built a group-wide debt compliance tracker monitoring covenant requirements, reporting deadlines and
CP/CS obligations across all active facilities; developed HO cash flow tracker to support liquidity planning and
decision-making.

M&A and Capital Markets:
Worked on acquisition of an entertainment brand worth ~AED 1, 200Mn (locked
box transaction) and asset purchase of AED 165Mn in a major entertainment
center in Europe,
Reviewed MoU, Sale & Purchase Agreement
Liaised with KMPG & PwC to conduct FDD, Garrigues for LDD on the target
asset.
Raised AED 1, 285Mn from Green bond issuance in UAE for further expansion in
Europe and refinance the existing facilities
Worked with credit rating agencies to get an rating for the company and Green
bond issuance; Received ratings from Moodys, S&P and Fitch.
Prepared rating presentation/s & financial models for rating agencies, POC for
queries resolution
Prepared Investor presentation & reviewing Offering Memorandum.
Debt Capital Raise
1.Raised AED750Mn from local banks for refinancing the existing debt and raising
capital for acquisition
2.Raised AED 865Mn from CBD for an acquisition in Dubai; worked with external IB
to also include international PE funds.
3.Raised ~AED 260Mn from AAIB for refinancing existing loan with local banks,
refurbishment & capex and GCP.
Prepared financial models, debt schedule and cash waterfall and presentations
for both facilities (1, 2&3)
Reviewed Term sheets, Facility agreements and supporting docs; Liaised with
Baker McKenzie and Dentons/Clifford Chance on fulfilling the CP and CS for
the transactions (1, 2&3)

Evaluated 15+ businesses across sectors (Telecom, Petrochemical) & supported
investments worth ~AED 200Mn in MENA
Prepared financial statement forecast & estimated company valuation using models:
DCF, Relative Valuation and SOTP

and Petrochemical) in MENA region
