• General Corporate and Companies Act: Assisted on assignments under the Companies Act, 2013, including review
of corporate authorisations, board and shareholder approvals, constitutional documents, governance requirements,
registers, filings, and company-level compliance records.
• Contract Review: Reviewed and revised commercial contracts, MOUs, service agreements, lease arrangements,
indemnity documents, vendor arrangements, and other transaction documents from a general corporate, employment
law, and risk-allocation perspective.

drafting and reviewing facility agreements, common loan agreements, security documents, corporate guarantees,
indemnities, and other financing and security creation documents, and supporting the perfection of security interests.
• Project Finance Transactions: Assisted in project finance transactions involving renewable energy and infrastructure
projects, including review and drafting of financing and security documents, satisfaction of conditions precedent,
transaction structuring support, and coordination of closing-related deliverables.
• Financing and Security Documentation: Drafted and reviewed facility agreements, common loan agreements, deeds
of hypothecation, pledge agreements, escrow agreements, security trustee agreements, corporate guarantees, indemnity
documents, and related financing and security creation documents in connection with a Rs. 500 crore Rupee Term Loan
project finance transaction.
• Energy and Infrastructure Contracts: Assisted in drafting and reviewing power purchase agreements (PPAs), power
supply agreements, solar lease agreements, energy service agreements, EPC contracts, O&M agreements, and other
project-related commercial arrangements for renewable energy projects.

disbursement compliances, including review of corporate approvals, constitutional documents, project approvals,
licences, permits, financing consents, and regulatory filings in project finance transactions.
