Drafting, reviewing, negotiating and finalizing varied types of contracts such as
distribution, supply, maintenance and service, lease, joint venture and collaboration etc.
in local and global spectrum.
Preparing corporate resolutions, regulatory and supervisory mandates, powers of
attorney, company establishment documents etc. for group companies and its branches.
Conducting legal due diligence for acquisition of companies.
Providing legal advice on a wide range of legal issues e.g. employment, intellectual
property, corporate re-structuring, banking, medico-legal cases etc.
Supervising litigations filed by or against the assigned verticals of the Company, i.e. the
company’s retail business (pharmacies and distribution wing) and premium hospital
chain of hospitals and medical centers and updating the Board of Directors on
developments in cases.
Assisting the management team in exploring the possibilities of expansion into foreign
markets from a legal and regulatory perspective.
Guiding the team in preparing and upgrading standard templates of contracts to form a
depository for easy access and faster turnaround time.
Training staff and updating on legal and regulatory compliances especially on DHA
regulations.
Preparing and updating legal compliance manual, guidance notes for other internal
departments.
Preparing newsletters.
Visiting hospitals and pharmacy branches on regular basis to collaborate directly with
the stakeholders of various internal departments for strategizing and resolving legal
issues.
Advising, assisting and rendering legal opinion to clients on a wide range of complex, local and international legal issues in matters such as labour/employment, tenancy, banking, real estate, intellectual property, contractual disputes, construction contracts, commercial agencies and franchises and setting up of limited liability companies/branch offices in UAE, including various free zones in UAE.
Drafting, reviewing and negotiating legal documents and commercial contracts including but not limited to: agreements, companies formations documentations, joint venture agreements, memorandums of Understanding/
letters of intent, franchisee/distributorship Agreements, lease agreement, employment contracts, sale and purchase agreements, contracting and sub- contractors agreements etc.
Handling arbitration proceedings mostly related to real estate and construction disputes.
Legal Research
Handling litigations and rendering legal opinions, on issues involving Takeover, IPOs, Listing and Delisting of Equity Shares, Preferential Allotment, Employee Stock Option Scheme, Informal Guidance Scheme, Investigation and Surveillance matters. Function involved liaising with and briefing the solicitors/ advocates, co-ordination with other departments of SEBI, attending Court hearing, administration activities like processing the bills of advocates and co-ordination with the regional offices of SEBI;
Carrying out amendments to Regulations framed by SEBI and framing of new regulations. Function involved preparation of consultative papers on amendments for inviting public comments, analysis/ examination of public comments, drafting of the amendments, preparation of Board Memorandum for SEBI Board's approval, after Board's approval getting the amendments notified in the gazette of India.
Organizing training/workshops/seminars/
meetings for various sectors including Non-Governmental Organizations, lawyers, healthcare workers, vulnerable populations, trade unions, management, the judiciary and policymakers with the objective of empowering, sensitizing and building capacity of the various sectors on legal-ethical issues.
Assisting in Drafting the Legislation on HIV/AIDS modifying standards for consent and confidentiality, prohibiting discrimination and creating as an affirmative legal environment for risk reduction interventions.
Organizing "Affordable Medicine and Treatment Campaign" aimed to ensure that patent protection does not come at the cost of human lives.
Undertaking research work on Patents on life-saving medicines.
Handling litigations in the High Court of Kerala, Debt Recovery Tribunal, Consumer Forums, Family Court, Labour Court and Lower Courts from inception till delivery of judgments.
Drafting Writ Petitions, Affidavits, Appeals, Counter Affidavits, Written Statements/Submissions and Suits.
Rendering legal opinion to the clients especially Banks and Financial Institutions.
