• responsible for advising the organization and its affiliates/joint ventures in contractual, legal, and compliance matters and supporting the business to drive the delivery of its services, and new initiatives whilst identifying and mitigating risk and adhering to proper corporate governance and compliance requirements.
• Provide accurate, relevant, and timely advice to your employer and other members of staff on a variety of legal topics that relate to the business sector and their products or services.
• Draft, review, and negotiate a wide variety of agreements including SPA’s, client contracts, supplier contracts, NDA’s, etc; develop contract models, and templates as necessary.
• Help in monitoring compliance with group contracting policy framework.
• Provide legal and strategic advice on new proposals and bespoke contracts for internal commercial stakeholders.
• Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
• Lead and support on larger, more complex transactions that either involve a larger, sophisticated partner, multiple jurisdictions, or several business lines.
• Monitor ongoing litigation, trials, appeal, cassation and execution cases, and other associated case tasks.
• Managing engagements with external counsel in compliance with group legal procurement practices and under the directions of the General Counsel.

- Working with the management team and ensuring we are legally limiting our liability and compliant in our workings;
- Reviewing all past contracts, be they sales contracts, employee contracts, and assisting us in case of legal cases;
- Responsibility for all litigation and disputes including legal representation, offering advice on legal issues, review quality, facilitating pre-trial and all court-related work;
- Identify outside legal counsel when needed, negotiate contracts and manage risks associated with external legal representation, follow up on payments to legal counsels to ensure that the company receives the appropriate assistance from external legal counsels for litigation and legal advice.
- Coordinate with concerned departments and other parties in the evaluation of potential litigation; develop recommendations for appropriate proceedings including prosecution, dismissal, or settlement of such litigations, based upon Group‘s policy;
- Monitor the legal and regulatory environment, including changes to laws & regulations that may affect operations of the Group or any part of it and proactively advise the Head of Legal, relevant BU Heads/ Managers, in order to take the appropriate action;
- Provide counsel and advice on legal matters pertaining to agreements, leases, construction/consultancy contracts, commercial contracts, purchase agreements, licensing agreements, insurance, property matters, company law, labor law, etc. to ensure that management receives the required legal advice when required
- Participate in the drafting, negotiating, and finalization of contracts between the organization and its vendors, consultants, contractors, and customers (master developers, building owners, and individual tenants) when needed.

- Review the risk of entering contracts to ensure that company is not exposed to uncontrolled risk.
- Negotiate various types of contracts with a view to provide legal advice to finalize contracts and protect the interests of the company
- Ensure that the rights of the company against third parties protected and initiate litigation or court processes through law firms and liaise with them in order to mitigate the risks and protect the interests of the company
- Negotiate when necessary out of court settlements satisfactory to both parties.

- Draft, review, and negotiate various contracts related to the business of Company and its subsidiaries with a view to preventing legal exposure and evaluation of risk.
- Coordinate with parties to seek an amicable settlement of disputes.
- Manage litigation cases, outsourced through law firms, that may arise due to any misunderstanding with various parties and customers.
- Provide advice on legal matters to protect the company’s interest by compliance with all applicable statutes, rules and regulations and minimize liability
- Draft legal opinion where legal clarification is required by management to facilitate decision making.
- Review the quality of deliverables of external legal services to ensure the company is getting the best value for the fees paid.
- Draft Joint venture agreements, MOU’s and other legal documents as required to conduct the activities of the company. -Review new relevant laws and regulations released by the Government in order to ensure compliance
- Provide legal advice on the protection of property of the Company e.g. Trade license, Trade names, logos, systems etc. to ensure that all the Property rights are protected against Fraud
- Provide legal advice on the application of employment laws when requested by the HR department to resolve such cases
- Schedule meetings of the Audit Committee and Board of Directors on a quarterly basis or whenever required by the Chairman or CEO.
- Set the agenda of the meetings and ensure its dispatch to the Directors on a timely basis.
- Draft minutes of meeting and circulate it to the Directors for their review.
- Ensure proper filing of minutes of meeting.

- Prepare and review client’s legal case documents.
- Analyze documents and case history.
- Represent clients in dispute center and Court, when required.
- Advising the clients on the law and regulations relating to their case.
- Analyze and review documents and law regulations to ensure the accurate advice and procedure.
- Attend meetings and set up appointments negotiations with Third parties.
- Review all legal documents prior to Sign and implementing.
- Writing legal contracts.
- Up to date with changes and updates in the law by reading journals and law reports.
- Interview clients and witnesses and take draft statements.
- Daily reports to the head of department.
- Handles related assignments as instructed by the Departmental Head.
