As a member of the Project Development Team, my responsibilities are:
participate as a legal member on behalf of the company in number of the new power projects` teams.
reviewing and amending the documents of the power projects tenders- including renewable power projects - such as PPA, PWPA, EIA, MOA, PDA, ..etc. to secure and maintain the company`s position either as offtaker or owner of the project.
reviewing and amending EPCs documents and providing legal support to the business units in any potential risk or dispute.
I`m responsible internally for a number of under construction and live projects, where I`m providing legal support for the company`s business units.
analyzing the potential risks over the company in respect of any potential dispute or activity with the IPPs.
providing the company` s business units with the adequate legal consultations in dealing with the IPPs.
liaising with the external legal counsels of the company in respect of issues, disputes, and transactions which may be transferred to them.
advising the company and its subsidiaries in different areas of practice such as corporate, contracts, and commercial.
providing legal support and consultation in relation to the potential business opportunities for the company in light of the local laws and internal governance of the company.
reviewing and analyzing MOUs and NDAs, in addition to other agreements from international perspective.
Providing legal support o SEC`s subsidiaries working in various areas of practice such as telecommunications, service providing, …..etc.
Handling number of transactions on behalf of either SEC or its subsidiaries including but not limited to acquisition, and start up a new business with interference in the negotiations, and drafting the needed documents like shareholders Agreement, and security arrangements.

I was handling multitasks related to consultation and litigation matters, I was responsible of providing the company with the required legal advices, and to get involved in any litigation or dispute resolution action related to my advice, and representing the company in the different levels of the dispute resolution (Negotiations, Litigation, and execution).

I was communicating with the clients and answering their inquiries and providing them with legal advices, and proposals of the suitable actions that could be taken, in addition to Translate, draft and review agreements as (sale, lease, employment, settlement, distribution, and SPA agreements, FIDIC agreements), as well as dealing with different governmental and non-governmental entities.
Most of my work was related to litigation, general consultations, contracts, remedies, transactions, assignment and third party rights, the disputes related to Montreal, and Warsaw conventions, and IATTA rules, also I`m familiar with FIDIC rules.

I was responsible of handling the case from A to Z, starting with the studying and analyzing of the case, preparing an evaluation, in addition to prepare the needed legal consultation and the recommendation of the appropriate strategy to deal with the case.
I was representing the clients before the public prosecution, experts authority and the different types of Courts (Ex. Economic Courts, Misdemeanor Courts, and the Felonies Courts).
I handled unprecedented criminal case in the area of religious discrimination based on claimed abusive dismissal on behalf of an international company, and I handled many cases in the area of Corporate Criminal (Public funds squandering, fraud, uncovered checks, customs evasion, and criminal liability of the company management).
I prepared researches and handled unprecedented two cases in the area of antitrust competition with the amount of Forty Million EGP on behalf of one of the largest companies in the cement industry in Egypt.

I was preparing pleading memorandums, legal due diligence, legal researches, and legal consultations related to the litigation aspect, in addition to representing the clients before the Courts.
I was communicating with the clients and answering their inquiries and providing them with proposals of the suitable actions that could be taken, in addition to translate, draft and review agreements as (sale, lease, employment, settlement, distribution agreements), and I'm dealing with different Governmental and Non-governmental entities.
Most of my work has involved in litigation, consultations, contracts, remedies, assignment and third party rights; also my experience is focused on international commercial disputes (with an emphasis on sale of goods).
Recent experience & deals
I handled consultation and litigation in more than one case on behalf of a pharmaceutical company in relation to commercial transactions, Civil, Labor and IP matters.
I have been involved with an arbitration case concerning one of the largest energy companies and its related lawsuit before Cairo Appellate Court.
I have represented number of international aviation companies in several disputes, in addition to providing it with related legal consultations.
Furthermore, I have represented an international company for catering in a compensation case against Cairo Air Port Company about dispute related to license of exploitation restaurants in the terminal zone.

I was Dealing with different Governmental and Non-governmental entities, providing the clients with proposals of the suitable actions that could be taken in the area of infringement of their registered or non registered trademarks and other related issues, and translating, drafting and reviewing contracts and agreements, in addition to carrying out market researches regarding the infringement of the local and international trademarks.
It was my training program, where I was attending judicial sessions and hearings in several courts, attending expert's hearings, in addition to prepare cases reports and perform field investigations related to the cases of the firm`s clients.
