Key Responsibilities:
1- Contracts Drafting including:
• Actively participates in developing company’s contract templates, handles regulatory
issues such as employment/labor law issues, and monitors all aspects of procurement law.
• Handled Real - Estate Sale & Purchase Agreements, handled construction agreement
throughout using Fidic Contracts (Red Book, yellow Book).
• Handled Investment & Joint Venture Agreements, Distribution Agreements, Agency
Agreements.
• Handled Franchise agreements, Facility Agreement, Operation & Maintenance
Agreements.
• Provide legal advices related to International Trade and Commercial law.
• Handled shipping, banking, wider commercial disputes.
- Perfect Knowledge of all commercial payment methods particularly, Letter of Credit,
Standby Letter of Credit, Promissory note and other instruments of payments.
- Perfect Knowledge of all documentary sales contracts such as EXWORK, CIF, FOB,
C&F.
- Perfect Knowledge of the documents controlling the dispositions of the goods such as
Bill of lading, Seaway Bill, Airway Bill.
- Perfect Knowledge of intellectual property and competition law.
2- Contracts Management:
• Helping the project management department to prepare tenders and commercial bids.
• Working with project management team to ensure that everyone understands their roles
and responsibilities.
• Keep the contracts/agreements database up to date and trigger needed notification on
timely manner (before expiry) in order to take needed actions by the concerned (requestor
and buyer).
• To ensure that the negotiations, executions or terminations of any contracts are
incompliance with RAR’s strategies and policies.
3- Risk Management:
• Participate and contribute to the development of compliance/risk management strategies
anticipating legal/business impacts.
• Responsibility for controlling & monitoring local legal spend in accordance with set budgets,
assisting Legal Group Management in anticipating future requirements.
4- Corporate Governance:
• Draft & prepare polices for Board of Directors, General Assembly, Nomination and
Remuneration Committee, Audit Committee, Governance Committee etc.
• Conduct legal researches for the benefit of RAR and its subsidiaries companies.
• Support Legal Group Management in developing, planning and execution of Legal Group
strategies & initiatives, taking responsibility for alignment with regional annual and mid-
term plan objectives for others;
• Handled mergers and acquisitions transactions, particularly the due diligence requirements
which include the corporate & shareholder information; government & regulatory matters;
details of assets; financial position & statements; financial obligations & commitments,
material contracts, real estate, insurance policies, taxation position & issues, employees,
intellectual property & technology, litigation, arbitration & other disputes.
• Collaborates with the management team to establish, disseminate and implement the
Group’s legal policies.

5- Litigations:
• Draft and prepare all type of memorandums related to Alrashed Group law cases.
• Manage external legal counsel services, including review of external legal counsel work
product, preparation of request for proposals and instructing external legal counsel.
6- Reporting
• Ensures that all requisite reports are prepared in a timely and accurate manner, and meet
the RAR Group’s requirements, policies, and standards.
• Stays abreast of new laws and regulations through continuous legal education, attending
professional conferences, and participating in professional associations.
Key Responsibilities:
• Advise the management team across Capital Markets, Equity, and Investment Banking.
• Actively contributes to the review, amendment, negotiation and drafting activities of all contracts,
agreements and regulatory-related documents.
• Generated contracts, with a special focus on financing contracts provided leadership in insurance
cases, Real-estate, Construction, Investment, and labor suits and administered legal protection
and risk management advice to senior officials.
• Ensure that the company and its subsidiaries are up to date with the existing laws and regulations.
• Supervises and is responsible for the adequate management of litigation or disputes between the
business and its customers in the KSA and abroad.
Provide Legal Advices for office Clients.
• Review NDAs, MOUs, MOAs, proposals, lease agreements, share purchase agreements etc.
• Review of conditions of construction contacts, subcontracts, amendments including: Networks of
underground pipes, electricity, telephone communication, water house, sewage, roads, and
medium voltage.
• Develop contracts/agreements when needed (in-line with the approved templates) to have a final
draft which would be best suitable for special projects.
• Execute procedures for registering trademarks.
