stock companies laws.

3- To ensure that all board decisions are legal and within their jurisdiction.
4-Preparing to the Annual General Assembly meeting (AGM) & Extraordinary General Assembly meeting.
5- Obtaining the acceptance of the Ministry of Commercial and Industry to AGM and Extraordinary General Assembly Meetings.
6- Ensure that Quorum is reached in AGM and the attendance is legal and official.
7- Keeping in the company records all minutes of meetings (Attendance, Decisions, Voting, factorization, Objections).
8- Representing the company in front of the Saudi Capital Market Authority & Chamber of Commerce.
9- To be responsible for making all company policies and procedures concern shareholders are transparent and disclosed according to Saudi joint stock companies laws.
10- Works with Officers and Directors to ensure that internal policy and report documentation is complete and correct and does not lead to errors.
11- In consultation with the President, prepares agendas for the Executive Board and Council meetings.

13- Facilitates the public hearing process in compliance with Authority Compact requirements, rules and regulations to include ensuring appropriate legal notices, newspaper announcements, hearing site arrangements, witness lists, transcripts, and compilation of correspondence records.
14- Advises Board members of significant operational incidents, accidents and media coverage in a timely manner in cooperation with the CEO and Media Relations Office.
15- Annually instructs the “Nominating Committee” as to its duties.
