I have been working under the general directions of the Chief Governance Officer (CGO) at Al Rajhi Bank and establishing the Corporate Governance Function within Al Rajhi Bank (ARB) group, I managed the following main processes:
Maintenance of Corporate Governance (CG) Manual: Ensuring that CG Manual requirements are applied throughout the bank, updated on regular basis and in line with Saudi Arabian Monetary Authority (SAMA), Capital Market Authority (CMA), Ministry of Commerce and Investment (MoCi) regulations and best practices.
Maintenance of ARB's Delegation of Authority (DoA) Matrices: Ensuring that ARB's Board and Management level DoAs are updated and in-line with current policies / regulations / best practices and ensuring that all Business units have adequate written authorities.
Maintenance of Board and Management Committee Charter: Ensuring that all Committees within ARB's Governance Framework have approved Charters, updated on regular basis and maintain in ARB’s database.
Tracking of Management Committee's Performance: Ensuring that all Management Committees are submitting adequate tracking sheet based on established process and that Management Committees meetings are conducted in line with approved charters and preparation of annual performance review report and ratification plan with management actions.
Governance Committee Affairs: Ensuring that Agendas / Meetings packs / meeting request are dispatched adequately and on time, Governance Committee Charter requirements are met and adequate minutes of meetings with action items are prepared.
Governance of Board Members’ Documentation: Ensuring timely update of Board Information Forms, Board members independence confirmation and carrying out annual performance evaluation process and preparation of annual evaluation reports
Regulator Relationship: Conducting periodic meetings / status updates for SAMA, ensuring timely responses are dispatched to CMA's requests / inquiries, completing required BoD reporting requirements and CMA's Form 8 and ensuring timely update of Internal Documents / Policies based on regulation changes and circulars.
Management of Governance Department Affairs: Ensuring timely preparation of Department’s Business Plan, KPIs, budget, training plan, succession plan, workforce plan, ensuring that all Internal Audit / Compliance / Internal Control / regulator issues are addressed, department's Polies and Procedures are timely updated and ensuring adequate maintenance of Governance Department’s E-portal
Maintenance of Subsidiaries Governance Framework: Ensuring that adequate Governance Framework is in place, maintenance of subsidiaries delegation of authority matrices and follow Up with Governance Representatives at ARB for International Governance matters
Maintenance of ARB’s Policies and Procedures Database: Ensuring that all policies and Procedures within ARB and its subsidiaries are prepared according to standards, reviewed regularly by all stakeholders and providing status report to all BUs.
Assist the Center Manager in promoting ITIL across IT Department.
▪ Develop and continually improve upon existing IT processes and procedures with an emphasis on best
practices in accordance with ITIL and relevant International Standards.
▪ Identify tasks that are performed in an ad hoc fashion and convert them into standardized procedures
and processes using ARIS tool set.
▪ Prepare, document, and maintain repository of all IT processes and procedures.
▪ Audit and monitor the proper implementation of processes by IT Centers.
▪ Liaise with HBTF Policies & Procedures Center to approve and publish IT processes and approved
forms on HBTF internal Portal.
▪ Act a focal point for all communications between IT and HBTF Policies & Procedures Center in relations
to IT processes, operational procedures, and forms.
▪ Review and optimize existing procedures and processes regularly.
▪ Update processes and operational procedures when necessary.
▪ Work closely with IT Center Managers to identify weaknesses, inefficiencies, and gaps in current
processes and propose effective enhancements.
▪ Develop selected functions of an enterprise Remedy suite of mission critical administrative applications
for the bank.
