Legal Counsel/Group Company Secretary:
• Provide legal support on the commercial, strategic, labour, operational and corporate secretarial matters of the organization;
• Provide legal review, negotiation and drafting of all types of contracts and legal documents related to business activities;
• Review internal and external contracts and documentation to ensure compliance with the laws within the concerned jurisdictions;
• Support the financial team to negotiate and close finance transactions;
• Work on strategic corporate projects such as acquisitions, investments and restructurings;
• Manage relationship with shareholders, Board of Directors and Regulatory Authorities;
• Manage all board and Shareholders meetings; facilitate board communications; manage process pertaining to the annual shareholders’ meeting;
• Advise the Board on its roles and responsibilities under various regulations governing the Group Companies;
• Responsible for share issuance and transfer operations;
• Monitor corporate governance developments and assist the Board in tailoring governance practices to meet the Board's needs and investor expectations;
• Maintain key corporate documents and records;
• Responsible for corporate disclosure and ensuring compliance with UAE law
Assisting the chief legal officer of the Company and advising the CEO and other senior management. Responsible for (i) advising senior management with respect to the legal implications of all major decisions, strategies and transactions of the Company; (ii) negotiating or reviewing and approving material contracts and agreements between the Company and its partners or employees or any third party; (iii) coordinating and overseeing the activities of outside counsel; and (iv) providing advice and counsel to Company partners and departments, and seeking to ensure compliance with policies and minimization of risks to the Company.
• Counsel in collaboration with the CLO, the CEO and other senior management with respect to the legal implications of the Company's decisions, strategies and transactions;
• Serve as an adviser on issues of Company’s governance, risk management, Company’s growth, policy implementation, internal and external communications relating to sensitive matters;
• Provide day-to-day legal advice and counsel;
• Assist with the achievement of strategic goals and objectives of the Company;
• Negotiate or review and approve all type of contracts and agreements between the Company and its partners or employees or any third parties;
• Ensure compliance with applicable laws and regulations; and
• Coordinate and supervise outside legal counsels engaged by the Company.
• Provide commercial legal advice focused on trading and operational activity, including contract drafting and negotiation, supporting businesses in MEA territories
• Supporting the businesses in numerous issues including commercial contracts; licensing; compliance with relevant laws; litigation; intellectual property issues (such as brand protection)
• Provide legal review, risk analysis and negotiation and drafting of all types of contracts and legal documents related to business activities including service and product sales contracts, subcontracts, suppliers agreements, letter of intent, MOU’S, leases, licenses, IT, storage, etc;
• Company secretarial duties and knowledge management with respect to LDC subsidiaries based in the Region and their relationships within the LDC Group, including communication and implementation of the decisions and strategies of the board of directors, advice to the directors of the company regarding compliance with relevant legislation and corporation practices, company share transactions such as SPA, capital increase, etc., arrangement for the payment of dividends and observance of legal requirements, cooperation with tax advisers, finance, shareholders and company's members, notice of meetings, assessment and arrangement of insurance cover and licensing for the company, verification of company’s compliance obligations under relevant laws and requirements of regulatory authorities
• Regulatory advice and assistance within the MEA region
• Assisting Regional Legal Counsel based in Dubai with Mergers and Acquisitions activity and other business development transactions;
• File management and liaising with local counsel in each jurisdiction as required
• Assist to meet the legal needs of regional offices, often in co-ordination with other teams (Tax, Risk, Insurance, Operations);
• Research and evaluate local laws in co-ordination with local counsel
• General assistance to Regional Legal Counsel and Group Company Secretary
Draft, negotiate and review various commercial agreements and amendments
Handle day-to-day corporate legal affairs
Advise the company in all legal proceedings
Select, supervise and coordinate risk management and litigation issues with outside counsel
Assist with transactional matters, special projects and governmental relations matters
Led all stages of the creation and establishment of the business which included business registration, implementation of policies and procedures, interviewing and hiring of staff, promoting and advertising the business services, etc.
Provide legal opinions on a multitude of subjects
Negotiate, draft and review all settlements and commercial agreements of all types
Advise on business aspects like establishment of limited liability or public limited company, business plan, etc.
Draft and review the Articles, Memorandum and Article of Association of Companies, including company minutes, director’s resolutions, leases and confidentiality deeds.
Analyze clients’ profiles and determined best strategies to obtain immigration status (canadian, swiss and european). Built and followed-up on files in all phases of immigration procedures (including appeals to courts)
Supported the work of the Committee on Economic, Social and Cultural Rights
Researched, gathered complementary information, and analysed relevant cases of human rights violations and breaches of international humanitarian law in designated geographical areas
Participated in discussions with relevant authorities and other influential actors to identify actions that could help stop or prevent human rights violations
Interviewed clients and provided legal opinions
Drafted different types of contracts (e.g. constitution of and rules for a company, shareholders agreements, international sales)
Prepared and followed-up on immigration files for skilled workers, investors and political refugees
Master's Degree in international law.
