JTC provides the GCC, Middle East and African markets with the services of ports management, contract logistics and warehousing (bonded and open), equipment leasing, power rental, customs clearance, and other services to both private and public sectors.
Ensure company departments and subsidiaries comply with laws and regulations of respective countries and meet ISO requirements for quality management. Provide legal support to CEO and Board of Directors. Oversee Investor Relations division; coordinated communication between corporate management, shareholders, and financial community. Devise and establish litigation and claims resolution strategies by collaborating with outsourced law firms. Carry out due diligence of Private Placement; monitor company shares listing on Kuwait stock exchange market. Formulate policies, procedures, and charters. Facilitate compliance with Capital Markets Authority’s (CMA) corporate governance regulations. Assess and mitigate legal risks. Control sensitive matters for core business services such as Kuwait Ports Authority, Public Authority of Industry, and General Customs Department. Support recovery of bad debts. Train managers and division supervisors on litigation and risk avoidance. Write, review, and negotiate contracts for domestic and international transactions, including joint ventures., Act as board secretary, record all shareholders’ meeting minutes, and advise on special projects. Draft, evaluate, and educate on group internal policies such as legal department SOP, client blacklisting policy, and credit policy.
● Listed company shares on Kuwait stock exchange market (Kuwait Boursa) 2021; converted company licence into publicly listed (KSCP).
● Supported acquisition of a Qatari entity in Qatar and converted the licence into a Sole Proprietorship Company under the Qatari Foreign Investment Law.
● Steered acquisition transaction of majority of company shares by Qurain Petrochemical Industries Company; led due diligence process and advised on the transaction SOP.
● Transformed the 30-year-old parent company from a limited liability to a shareholding closed company in 2016.

HumanSoft owns and manages its subsidaries; New Horizons Computer Training Centre, Track Learning Solutions (E-Learning Solutions), and Expression English Training Centre. Countries of operation are: Kuwait, Dubai, Abu Dhabi and Qatar.
Provided advice on minimal liability and legal exposure. Represented the company; resolved conflicts and negotiations. Maintained country-wise regulatory compliance. Authored, reviewed, and updated company policies. Prepared trademarks; followed up registration cases. Researched and examined implication of law cases, legislation, and regulatory matters. Amended and renewed licences and official documentation. Handled legal matters for personnel and labour laws. Assessed and negotiated insurance policies and contracts such as vendor long-term agreements.
● Leveraged negotiation skills for new insurance policies with better coverage at minimal premiums.
Act as Board Secretary and recorded all general assembly and board of directors’ meeting minutes. Created franchising and licensing contracts management, recovered debts, negotiated settlements, and managed lawsuits. Advised CEO and Board of Directors on legal matters. Attended to HR personnel, labour contracts, and employment-related court cases. Involved in business planning and expansion of customer base.
● Contributed to steering the acquisition of Zarr United Group.
Pursuing cases at civil, commercial and criminal Courts.
•Advising clients of different business models on various business transactions, including drafting and negotiating their business and employment contracts such as an ambulance manufacuring company operating in Dubai, Kuwait and Lebanon, medical clinic and one day operations center in lebanon, a fashion company (franchise and other types of contracts), educational and training companies.
•Negotiating and drafting contracts (lease and sale of realestate, medical equipment, insurance related and employment contracts of client companies etc)
•Researching case studies, writing and following up all types of law cases.
•Handling relations with firm’s clients’ requests and proposed relevant legal advise.

•Holding interviews for recruitment, negotiating salaries and hiring required personnel.

The company shut down due to the war that hit Lebanon in July 2006, as its network provider infrastructure was destroyed. I was involved in winding down operations including shutting down stores, and decommissioning and sales of equipment.
