Al Madhani and Al Shamsi | Advocates is a local law firm in the UAE that handles both Corporate and Litigation matters. I work closely with my immediate boss, Mr. Sujith Mathew, on a variety of matters that he handles. The following are some of the matters I handle:
Mergers and Acquisitions
I have worked on the advisory team for the acquisitions of schools, restaurants and pharmacies (multiple pharmacies in 2 separate cases) and was also involved in conducting the Legal Due Diligence and share transfer of each separate entity. Liaised with the KHDA, DHA and other government authorities.
Offshore Companies (JAFZA) - Registered Agent Duties/ Assigned Tasks
Company Incorporation and providing all the necessary services that are required of a Registered Agent: Company Renewal, Change of Company Name, Altering Share Capital, Letters, Requesting Incumbency Certificates and Winding up Procedures.
DIFC Wills and UAE Wills
As my immediate boss is a registered DIFC Will Draftsman - I have worked on drafting multiple wills, letters of wishes and I am quite thorough with the procedures for drafting wills and complying with the DIFC Wills and Probate Registry guidelines.
I have also executed UAE wills at the Notary Public on many occasions.
Other Corporate Matters
I have been tasked with drafting notices to various corporate entities - Demand Letters for recovery of payments/ shipments/ goods, negotiating terms of Non-Disclosure Agreements, drafting Legal Opinion, providing assistance in drafting Service Agreements, Employee Contracts as well as the creation/ termination of Partnership Agreements.
Given my command over 5 languages, the Managing Partner has handed over responsibility for liaising with some of the firm's clients - HNWI’s and priority clients (Legal Department heads from 2 Major Banks, 1 Hospital and the biggest UAE Car Dealer regarding Labour, Criminal and Civil Matters)
Worked directly under the partner in drafting multiple contracts and the creation of templates for 11 areas of the law; Family law, Corporate Law, Secretarial Compliance, Creation of wills and Trusts to mention a few.
Responsibilities:
• Assisted associates when asked to research disputed aspects of law in civil and criminal matters. The work assigned to me gave me a chance to explore the legal system, procedure and the intricate manner in which the firm legally tackled issues.
• Was also assigned research on Corporate Law and assisted with Real Estate deals.
Assisted in the preparation of rental agreements, sale deeds and the creation and termination of leases. Was exposed to real estate contracts, lease reviews and the entirety of the negotiation process.
Responsibilities:
• Involved in the drafting of initial contracts for the biggest commercial venture of the company.
Assisted both the partner and associates when asked to cross-examine and research legal and political issues with special emphasis to the regulatory statutes. The work done was based on Intellectual Property and Corporate Law.
Responsibilities:
• Maintained 20 Search Reports for conflicting marks
• Filed over 10 separate Trademarks at the Trademark office, directly supervised by one of the associates.
I interned with Golden Star Promoters Limited, to understand the real estate market and the legal documents that were required to lease/ sublease a space. I was also introduced to the procedural aspect as to how the municipality was to be approached when plans were to be changed or approvals need to be obtained
Linked up with Solomon Richard and Co., to assist in Civil (Personal Injury, Motor Claims, Divorce, Syariah Law) and other aspects of Civil and Criminal work. Worked with clients directly and was given the opportunity to size up key facts and take notes constantly throughout interviews. Was also given the chance to draft legal opinion, directly supervised by the partner.
Responsibilities:
• Produced weekly reports of the work volume and was involved in maintaining the filing for various cases.
• Maintained notes on the main clients and was reviewed it every week with the supervisor.

The client pool ranged from large commercial firms to small and medium sized firms as well as individual clients.
