PCT is a leading supplier and manufacturer of large scale, advanced composite components for architectural, marine, rail, aerospace, automotive and pipeline repairs (oil and gas) industries.
Sole General Counsel and legal advisor for all strategic investments of PCT and manage all commercial transactions and negotiations. Advice and support business on corporate commercial, regulatory and corporate governance matters. Draft and negotiate a variety of agreements, including but not limited to; shareholder agreements, joint venture agreements, commercial, technology and vendor contracts, acquisition agreements and related documentation. Developing and implementing compliance policy and procedures within all PCT divisions, including training and investigations
Jiya specialises in defence and aerospace projects relating to acquisition of foreign defence company shares, structuring industrial security arrangements and leading internal investigations and compliance programs on matters relating to defence trade controls.
Her role at EAIG focuses drafting back-to-back contracts with the end user - UAE Armed Forces (consisting of the Federal Forces; UAE Army, UAE Air Force, UAE Air Defence Force, and UAE Navy) and Manpower Agreements.
She has been the main lead on internal investigations and compliance programs with respect to defence trade controls, government contracts, the US Foreign Corrupt Practices Act, and UK Anti-Bribery Act.
Her role also includes advising on International strategy and collaborative arrangements, including structuring complex international arrangements such as joint ventures and teaming arrangements of the international strategy, organizational structure and regulatory approach of US defence firms.
She specialises in providing legal advice on acquisition of foreign defence company shares, including structuring industrial security arrangements such as special security agreements and proxies. Her expertise also extends to advising on procurement matters, including partaking in the acceptance of bids, and organizational conflict of interest.
As a senior member of the in-house legal team, she is responsible for advising EAIG’s affiliated companies on defence research & development, intellectual property, defence and airspace related support services, naval services, defence training to prepare service personnel to deliver operational capability, information security, nationality security issues, and securing licenses to import from the US, UK, and France.
Jiya’s ITAR certification puts her in the forefront for advising on UK and US export compliance regulations, in particular the US International Traffic in Arms Regulations, Export Administration Regulations, and U.K. Export Control Act 2002, the Export Control Order 2008, and the the Export of Radioactive Sources Control Order 2006.
Jiya provided a broad mix of advisory on matters arising with contractors, developers, consultants and government departments & agencies regarding commercial building construction, civil engineering and industrial investments.
She has drafted a variety of agreements; Memorandum of Association, Memorandum of Understandings; sale purchase, distribution, agency, franchise, and joint-venture agreements and administered complex vendor, client, and employment contracts.
She has been extensively involved with negotiation of construction contracts warranties, bonds and appointments etc. Interpretation and revision of International Federation of Consulting Engineers Standard contracts. Reviewing banking agreements, both conventional and Islamic banking.
Jiya has been the lead Legal Advisor for a variety of finance and banking documents; ISDA’s, project finance agreements, term sheets, conventional and Islamic financing solution agreements, drafting and reviewing guarantees for a variety of projects including the sale of assets for one of EIIC subsidiary’s to a leading cable company in the UAE.
