• Manage and direct overall legal activities of the company, develop the legal strategy plans and provide legal advice to Management, Board Members and functional/department heads in developing contracts, agreements, policies & communications.
• Provide legal guidance for drafting and reviewing of standard documentation as well as negotiation and approval of contract terms ensuring they are in the best interest of the organization.
• Participate in legal studies related to the review of all contracts of the company, evaluate and mitigate legal risks, and assure optimum protection of the company’s legal rights while satisfying the market and work requirements.
• Draft, review and advice on various forms of Contracts, Agreements, Joint Ventures, Non-disclosure Agreements, Letter of Intent, Consultancy Agreements, Supply Chain Agreements, Assignment Agreements, Settlement Agreements, Large-scale development & Construction, and PPP Projects.
• Advise business on applicable laws, rules and regulations related to business operations, and impact of any changes in such rules and regulations on operations.
• Research the current legal position of the company to present it in the best light possible at all times; provide analysis and solutions on all legal matters with the highest level of legal protection and intelligence.
• Communicate and develop a reputable relationship with the government entities.
• Prepare the internal legal minutes including Shareholder Resolutions, Shareholder Agreements, Board Resolutions, Ordinary and Extra-Ordinary General Assembly Minutes, and Power of Attorneys.
• Investigate labour-related complaints and violation of labour law, accordingly develop and implement remedial action plans and impose penalties.
• Conduct legal research on relevant legislation, policies and laws in the relevant area to comply with current regulations. Follow up changing the regulations periodically and compliance with the local laws.

Highlight:
• Successfully establishing and managing the Legal department of CPC Holding, the first Classification Company affiliated and owned by Saudi bin Ladin Group.
• Successfully lead IPO process, with all relevant transactions of Private Placement, Equity Structure, and Legal Due Diligence … etc.

Responsibilities:
• Provided consultation and legal advice to the management and all business units regarding disputes, preventing litigation, and contractual and regulatory issues.
• Managed all lawsuits (local & international) between the group and the external law firms to ensure covering all lawsuits brought by or against the group.
• Collaborated with various departments and provided guidance and interpretation on legal, compliance, commercial and business risks and assured optimum protection of legal rights of the company.
• Prepared and reviewed a wide range of company’s contracts, followed up for authentication and registration with relevant government authorities, and documented and registered contracts.
• Developed and implemented contracting policies, defining processes and procedures for in-house contracts, while ensuring adherence with overall organizational strategies and objectives.
• Developed internal policies, procedures and work regulations of the company; liaised with the officials in the relevant government offices for approvals on different regulations.
• Performed all corporate processes, bylaw, article of association, transfer of shares, merger& acquisition, liquidation and all minutes relevant to the shareholders and the board of directors.
• Prepared all legal documents related to the Board & Shareholders Meetings.

• Provided legal counselling to various clients across the public and private sectors on civil and criminal issues.
• Responsible for pre-filling assessment of the client's legal position and developed the claim/defence strategy in relation to civil, criminal & commercial matters. Interpreted laws for clients and help them to understand their legal options.
