• Negotiating, reviewing& executing all Real Estate, Telecommunications& Hospitality Agreements and all legal documents such as share transfer, construction, merger and requisition for the Group and its hospitality and touristic division, resorts, vacation clubs and entertainment centers and investments in hospitality sector in GCC, Malaysia, India, USA and Europe for touristic developments and entertainment projects. Key Assignments:

• To advice and draft/execute/review/approve and modify all kind of Contracts, Agreements MOU, Articles of Associations, POA/LOI/RFP/ RFQ and other concerned legal documents, as per proposed terms and conditions to get the maximum benefit, arising from Mezzan Holding Group (KSC) and subsidiaries/affiliates based in Kuwait, Qatar, UAE, KSA, Iraq, Jordan, and Afghanistan;
• Handling issues relating to protection of Intellectual Property Rights and registration of Trademarks, Trade names and Protection of Copyrights of the Group;
• Negotiating and finalizing all agreements and contracts on behalf of the Group with external parties to ensure that it meets all legal obligations to protect Group’s interests;
• To check external companies legal statues online at the chamber of commerce and to check, confirm and approve the documents such as articles of associations, trade/commercial registrations& licenses and approved authorized signatories certificates and IDs for the signature of the agreements/contracts/LOI/MOU/POA etc.;
• To draft and issue termination letters relating to the agreements/contracts/LOI/MOU and other letters regarding any transactions whenever required by the Group or any subsidiary to save their rights and interests in order to minimize contractual or legal risk;
• Recommending for changes in Contracts for extension or renewal already signed to save the Group’s rights and interests in order to minimize contractual or legal risk and to be communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation;
• Serving as the point of contact for customers on all contractual matters and ensuring timely review and approval of all Contracts without any delay or risks to the Group and maintaining all contractual records and documentation, customer contact information, contractual changes, status reports and other legal documents;
• To interpret both existing and proposed new legislation, Government guidance and case law affecting the Group business its functions and recommend necessary changes;
• To regularly attend and provide expert legal advice to the Group and its subsidiary/affiliate, as may be required on all legal issues relating to the concerned portfolio;
• To deputize Group Legal Chief in day-to-day management of Legal Dept. including budget authorization and by attendance at internal working and liaison meetings as required;
• Working on Share-Transfer& Subscription Agreement and Shareholders Agreements for three major acquisition projects with association of Int’l Law Firms and Leading Local Law Firms in Kuwait, UAE and KSA relating to acquisition and transfers of shares for Mezzan Holding Group Company (KSC) of Kuwait as major shareholder;
• Recently, completed a big Project of KD. 3-Million for a group subsidiary for designing, supply, erect and commissioning of the plant for used oil re-refining to purchase a new oil refinery for its factory in Industrial Shuaiba, Kuwait. My works include to review all documents received from the Contractor, drafted the Agreement based on quotation as amended from time to time, drafted the Performance Guarantee Agreement, Bank Guarantees for Advance and Performance Payments, address and reply to any legal comments from the Contractor and advised to the Group accordingly to finalize the Agreement with consideration all technical, financial and legal aspects and attended a number of meetings and conference calls with KLOC and the Contractor to discuss and finalize the issues under legal framework;
• Dealing with local law firms and int’l law firms in an efficient and cost-effective manner while obtaining external legal advice as required by the Group for major Projects whenever required in Kuwait and other countries time to time;
