• Provide the needed legal services for Egis entities in the Middle East (Such as Egis Rail, Egis Engineering, Egis Avia, Egis Industry, 10 design, Helios & Projacs)
• provide legal guidance on Mergers & Acquisitions. Manage and advise on strategic M&A transactions, domestic and international transactions, including structuring considerations, leading diligence, negotiations and closings of transactions. Collaborate with and provide counsel to internal and external stakeholders. Manage external counsel on M&A.
• Provide legal risk analyses for complex or major projects in based in the Middle East countries. (Road, Rail, Metro, Airports, Water, Urban, construction, …ets).
• Attend the board meetings and take care of the company corporat resolution, and legal matters in the Middle East.
• Reviews, drafts and negotiates major contracts mainly relating to construction, governmental and private tenders, Joint Venture and corporate matters, FIDIC, special licensing, non-disclosure agreements, IP, IT, joint venture, consortium agreements, settlement agreements, industrial agreements, subcontracts, subconsult and partnerships
• Provide legal advice to ensure compliance with legal requirements, code of Ethics, Compliance procedures, and reduce exposure to legal risks.
• Negotiation of contractual legal aspects with partners/clients
• Analysis contracts and highlight the main legal risk (FIDIC, concessions, PPPs, Middle East countries public procurement)
• Identification of contractual risks and commitments related to the Identification of local and in the Middle East legal constraints.
• Creation of companies and negotiation of related agreements (company statutes, shareholders' agreements ...)
The Company run a family business and own companies across Europe and the Middle East for real estate and contracting.
• Incorporation of offshore and BVI companies.
• Detailed knowledge of local, regional and international laws and regulations - including commercial and business laws.
• Reviews, drafts and negotiates major contracts mainly relating to real estate and corporate matters, and join venture e.g., sale and purchase agreements, FIDIC, special licensing, non-disclosure agreements, terms and amendments, undertakings, waivers, notices, brokerage agreements, IP, settlement agreements, JV agreements, M&A and other general agreements relating to marketing, IT, insurance and tender in English.
• Provide legal advice to ensure compliance with legal requirements and reduce exposure to legal risks;
• Representing Mails in judicial and governmental proceedings and advocating and defending its interest in those proceedings;
• Day to day Legal Advices: communicating with other Departments and Group companies and provide the required legal assistance as and when required;
• Ensures that the Legal Department appropriate handles registering of Com Offices Overseas, if any, once the approvals are received, look into the Labor Laws, Employment Contracts etc.
• Liaise between Com and outside Lawyers at the Group’s Corporate Office and outstations on all related legal matters including settlement of claims, litigation to defend legal actions on behalf of the Group and performing other legal work.

1. To provide consultation services to clients on various and complex commercial and critical legal matters.
2. To act as an arbitrator have a commercial lawyer and a former judge experiance with substantial experience in the resolution of complex commercial disputes and in international arbitration proceedings.

• Construction disputes: range from major institutions and government entities to specialist contractors and consultants.
• Tenancy contracts for residential, commercial, industrial and retail property.

• Insurance claims: properties damages, vehicle damages and personal accident, death…
• Supply of defective materials claims, good price, bills, debt and civil claims resulting from crimes.
• Companies dispute, shareholders disputes and bogus company's disputes.
• Arbitration award's claims: approval and/or cancellation.

His Excellency, late Judge Khalid Al Safareene (who established RAK Courts and the modern legal system in RAK, H.E. Judge Shokree al-Akdar (Former head of Civil Appeal Court for 35 years), H.E. Attorney General of RAK Judge Hassan Mhamed and myself.

• Achievements: some of my achievements are: I formulated my judgments in a very short time and I never delay a judgment, I stopped the expert witnesses' delay, more than 20% of the cases were stalled in an amicable statement. I improved the quality of the judgment by giving the right positioning to the disputants. I issued judgments in complex legal disputes worth hundreds of millions of Durham.

• SBIG operates in may sectors: real estate, automotive, it also have very important interests in trading, commodities, food processing and food packaging, Information Technology and Telecommunications, and agriculture. The SBIG used to be the exclusive franchise dealer for Land Rover, BMW, MINI, Rover, MG, and Rolls Royce vehicles in Jordan.
