Handling the legal department activities, legal consultants, supporting human resource activities and other departments for a subsidiary of bank in Kuwait
Key Responsibilities:
1. Legal :
• advising on company’s policies, regulation, and procedures to maintain legal policy guidelines implementation and adherence,
• Supporting the company on business transactions, claim liability, advisability of initiating or defending lawsuits, or legal rights and obligations.
• Interpreting laws, rulings and regulations to ensure full legal compliance to all relevant statutory legislation.
• Preparing advisory briefs for management on any suggested projects including contractual negotiation and preparation of relative contracts
• Drafting and reviewing various significant business contracts such as Insurance, Lease, employment contracts and Lending Agreements, etc. Negotiating and settling appropriate terms and conditions.
• Assessing the overall company position ensuring compliance to local law and regulations
• Coordinating with external lawyers to ensure accurate, timely and effective completion of all documentation and follow up on arbitration
• Representing the company in significant legal cases in Experts Department/ Ministry of Justice.
• Preparing and designing the necessary documents for the company.
• Preparing and conducting internal official investigations
2. Supporting HR (Human Resources) on:
1. Revising employment contracts to facilitate the recruitment or dismissal of employees, ensuring comply with Labor Law.
2. Developing and implementing human resource policies & strategies.
3. Designing, developing and maintaining the recruitment process
4. Preparing and designing the employee contracts and necessary documents for HR Dept.
5. Preparing and conducting investigations for employee in conflict with the rules
3. Handling and supervising the administrations activities besides of the main responsibilities more than 5 years :
• Contracts : Handling and managing all the company’s contracts starting from studying the service conditions and requirements, market study, select the services providers, review quotations, prepare the contracts, follow up with department to ensure that is comply to policy and procedure.
• Procurement: reviewing, sharing and purchasing all the company requirements (stationary, equipment, cars and vehicles ... etc.) and follow up the maintenance, guarantee, and warranty agreements.
Company’s activity: (manufacturing CD/DVD and Cassette, Printing Press, publishing (Magazine), Video/Audio Studios, Showrooms, Institute (Media Academy) ).
The Legal side
• Follow-up The legal matters inside and outside the company
• Follow up on legal cases in the various fields (labor, commercial, rents, ...)
• Preparing and drafting of contracts
• Providing the legal opinion and advice to run the business
• Conduct the investigations with the staff
• Implement the penalties and sanctions according to the regulations and labor law
The administrative side
• Issue the internal administrative regulation.
• obtain the necessary permits and licenses from the ministries
• Arrange holding the meetings of the Board of Directors and Annual General meeting in coordination with the Ministry of Commerce
• Preparing the minutes of meetings.
• Follow-up matters relating to the legal entity of the company
1. Administration Department:
• Follow up the decisions and circulars issued from the university management or the Civil Service Commission and apply it.
• Preparing and drafting of circulars
2. General Services Department
• preparing and follow-up the contracts
• preparing the general and special conditions of tenders
