A) Responsible of providing a number of legal opinions related to labor law, business, antitrust law, dumping, and commercial law. B) Establishing new companies in the cement, gypsum, and substitute energy in the Egyptian market. C) Handling & Observing all Legal & contractual procedures related to mergers, acquisitions, and corporate financial transactions jointly with Baker & Mckenzie law Firm. D) Negotiating all sort of Contracts, Agreements, and all other business aspects to the extent of changing the application forms stipulated by the capital market authority law. E) Handling corporate compliance and regulatory affairs in between Suez Cement & Dowell Schlumberger Middle East Inc. and creating concrete agreements of mutual services, as well as responsible of all the regulatory affairs with our outsourcing law firms (Shalakany Law office & Baker & Mckenzie law firm). F)Drafting a severability of Business agreements such as (exportation, Equipment rent, Customs Release, custodian agreements, consultancy agreement, Communication Department, hotels, Joint-Venture agreements, shareholders agreements, lease contracts, Maintenance, Management and Advisory Agreements, materials transportation, MOU, Non-Disclosure, office renting for new companies, Packing contracts, Properties Contract, sales & purchase agreement, Supplying Contracts, Training Contracts, transfer of technology, escrow account agreement, confidential agreement, Distribution … etc) all the previous contracts drafted in trilingual Arabic/English/French as requested. G) Handling all the legal procedures of BOD’s, ordinary and extraordinary general assembly meetings, and ratifying the record of minutes in the general authority. H) Handle internal investigation. - Integrating and overseeing such allied corporate staff functions of legal Managers (Suez, Tourah, Helwan Cement companies & RMB, RMBE ready mix companies legal Managers and all their stuff) - reporting to Legal Director, and I cultivate to be Deputy Director legal Department by Title promotion with same responsibilities.
