- Establish and implement a Governance manual.
- Risk management (Framework - Register - Mitigation … etc.)
- Build and set up the Compliance function.
- Ensure and check that all Policies and procedures in the company comply with the regulations.
- Train company personnel to build a GRC culture.
- Enhance and apply controls to mitigate non-compliance risk.
- Prepare quarterly and annual reports to the Audit Committee, Board of Directors, and other government
entities as required by the applicable rules and regulations.
- Evaluation and verification of suspected Cases of law violation.
- Establish and implement a whistleblowing policy.
- Participating in awareness programs.
- Liaison with internal and external auditors and assistance in managing responses and actioning
compliance issues raised in audit reports and control Self-Assessment reviews.
- Guarantee that the company's business processes and transactions follow all relevant Nesma Policies &
Procedures guidelines.
- Provide detailed reports on company compliance with policies and regulations.
- Support Audit and risk departments concerning any required and relevant information.
- Coordinate with all functional managers for frequent training on new laws and regulations whenever
required.
- Set and manage effective action plans in response to audit discoveries and compliance violations.
- Collaborate closely with other departments’ Compliance Working group (Compliance Committee) to
create a culture of compliance.
- Prepare quarterly compliance reports
- Participate in developing, initiating, maintaining and revising of policies and procedures for the general operation of the compliance program and its related activities to prevent illegal, unethical or improper conduct.
- Review and update Standards of Conduct to ensure relevance in providing guidance to management and employees.
- Monitor activities of other departments to remain abreast of the status of all compliance activities and to identify trends
- Conducting an inspection review of the entire company’s functions.
- Identify potential areas of compliance risk, implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid or deal with similar situations in the future.
