Led TFI’s 6 member strong non-real estate investment team - helped source, execute & place PE opportunities for TFI. Responsible for growth / development of existing portfolio of companies via implementation of best practices, management incentive plans, strong corporate governance, stringent portfolio monitoring processes & documentation of evolution to IPO / trade sale strategy plans.
• Provided TFI access to investment opportunities in Aviation (China), Infrastructure (Turkey) & TMT (US & GCC) sectors.
• Worked on deals in real estate, transport & TMT within CIS countries, South American & MENASA regions. Select deals include:
Structured & established a $60m Telecom fund & helped identify the fund’s flagship majority stake investment - $150m expansion capital for a Russian broadband operator expected to penetrate other CIS countries.
Performed detailed due diligence of a Qatari based IT services firm - successfully structured transaction & acquired 65% stake in the company. Wrote 100 day plan, implemented HR changes & brokered new relationships/contracts for the company.
Advised on a $350m real estate deal involving 3 development projects in Qatar conducting projects’ feasibilities; creating transaction structure & projects’ detailed financial models; introducing investors; & coordinating meeting efforts with project vendors (architects, real estate management & construction companies, etc.).
Headed the Investment Banking team within the Group. Rendered business & transaction advisory services to conventional & Islamic financial services institutions - subject matter expert for private equity, investment banking & real estate related advisory. Also, responsible for sub-group P&L & growth strategy; team building & mentorship; mandate origination & execution; & client interface. Helped grow revenues by ~ 4X in 3 years.
• Provided valuation, M&A, public/private issue (e.g. deal structures, PPMs), business restructuring, product development, market research, feasibility studies, business planning, competitive positioning & benchmarking services to clients. Select projects include:
Assisted Gulf International Bank in its documentation for Al Baraka Banking Group’s (ABG) $0.6bn IPO by performing subsidiary valuations, reviewing & conducting commercial & financial due diligence on ABG’s subsidiaries.
Led the $150m Al Amin Bank/Al-Baraka Islamic Bank merger by authoring the merger strategy, identifying/calculating synergies /target capital structure, determining price / share swap ratio & tending to shareholder/media queries.
Restructured a family office into an Islamic private equity institution - performed due diligence on funds’ flagship investments.
Successfully closed (amongst many) the private placement documentation & 3rd party liaising efforts of Seera Investment Bank, Investate & Elaf Bank. Size of respective offerings listed on deal sheet.
Identified a $7bn acquisition target for a large regional bank - screened 30+ banks, calculated relevant synergies, feasible pricing, capital adequacy effects & shareholder dilution. Conducted extensive due diligence on final 3 targets.
Devised a unique project financing structure for a multi-lateral development bank enabling it to achieve competitive Islamic funding; allowing for conventional leverage limits, whilst hedging partnership risks inherent in Shari’a financing contracts.
As part of our MBA thesis, we sought out companies who were willing to provide full access to their operations & data in return for strategic advise from a team of 7-8 aspiring MBA students.
Umbra (with then revenues of more than US$100mn), our team & three senior professors were involved in identifying crucial issues plaguing a once successful home furnishing & design house. We recommended various options/solutions to relevant issues & also helped part implement an overall strategic initiative:
• Carried out 8 months of primary & secondary research, field observance of Umbra factories in China, warehouses in USA & offices in Canada & Australia.
• Utilized Activity Based Costing methodology to identify cost inefficiencies across product lines.
• Prepared 10 year financial projections & mapped financial targets to market opportunities.
• Recommended & implemented an alliance with a retail giant for Umbra’s low grade products.
Associate-in-charge of analyzing private & public entities for Bank equity participation - portfolio IRR ~ 42% with zero losses.
• Prepared investment documents (pitch books, information memoranda & transaction proposals), conducted board & strategic alternatives presentations, performed industry/field research & engaged in due diligence exercises.
• Performed valuation analyses covering comparable trading, precedent transaction multiples, accretion/dilution scenarios & constructed detailed valuation financial models using DCF, DDM, RI & APV methods. Select transactions include:
Led expansion capital financing of $6m in MACPAC (packaging/printing plant) & $4m in Venus Chemical (Ethanol producer).
Managed the underwriting of Saudi-Pak Commercial Bank’s $12m rights issue & Pakistan International Container Terminal’s $40m placement issue; & $14m syndication advisor to Maple Leaf Cement Ltd.
Helped restructure IBL’s (a distribution company) balance sheet resulting in a 14% valuation increase.
Advised the Bank in the pre-IPO investment of Oil & Gas Development Corporation (then the largest KSE listed company by market cap) & The Resource Group (at the time Pakistan’s first IPO in more than 5 years).
Assisted in placing $25m of Union Bank’s unsubordinated corporate bonds to institutional investors across Pakistan.
Consultant to many financial institutions including global investment banks such as Goldman Sachs, JP Morgan, Morgan Stanley, CSFB, Deutsche Bank and Merrill Lynch.
• Formulated recommendations based on benchmarking exercises & provided insight on standard market practices, perceived quality of product/service offering & competitor strategy to global top-tier investment banks.
• Conducted research on various fixed income & derivative products offered in Europe, East Asia & North America.
• Utilized proprietary indicator scale & modified programming software to successfully identify clients’ trading externalities.
• Successfully directed the inaugural launch of the credit derivative facility within one month of joining the firm.
