In activity for over 40 years and with a variety of subsidiaries worldwide, Quality Group Limited is one of the largest conglomerates in Tanzania, including construction, real estate development, engineering, infrastructures, international trade and automotive. When hired, the company was facing a range of challenges within its legal department and unresolved issues, including the loss of most legal files.

Responsibilities:
• Building and managing the Legal department
• Managing over 100 cases in Common Law courts, including commercial, criminal and labour
• Developing a list of open cases and their status, and qualifying them based on merit and the opportunity to pursue out-of-court solution
• Drafting, reviewing and negotiating all sort of agreeements, including commercial contracts, M&A, LoI, partnerships and JVs
• Developing a budget for the Legal department
• Designing organisation-flow and internal policies for the management of matters of legal relevance and negotiating them with the heads of other departments
• Acting as Public Affairs Manager, advocating the Group’s interests, and liaising with governmental authorities

Achievements:
• All emergencies have been attended to, files and case history have been reconstructed and no case has been lost
• Adopted organization-flow and internal policies ahead of expected time

Senior Legal Manager and Property Manager في Brioschi Sviluppo Immobiliare S.p.A.

Listed since 1914, Brioschi Sviluppo Immobiliare is a major property developer, part of a multi-divisional group with interests in infrastructures and construction, hospitality/hotels, entertainment venues (www.forumnet.it) and retail parks.
Asked to join the company after having advised it for three years as external counsel in Lombardi Molinari e Associati.

Responsibilities:
• Starting off as Senior Manager (with responsibilities including labour and employment litigation), progressed to become a director and liquidator of many subsidiaries
• Asked to act as Property Manager, supervising and preparing tender documents, managing assets worth over €1.2bn, and co-ordinating a group of 12 professionals, including engineers and architects
• Defining and managing the budget for the Property Department
• Identifying and implementing suitable software - including a module to allocate costs/revenues/taxes to specific real estate assets - within first 5 months.

Achievements:
• Designed an organization flow (adopted during the first month in office)
• Wound-up one of the subsidiaries and laid off 30+ employees in accordance with applicable laws (without any litigation incurred by the group)
• Negotiated the sale (to a Public SPV) of the area where the EXPO 2015 Milan was eventually held
• Negotiated the main sponsorship agreement for the Mediolanum Forum
• Negotiated the agreements for e-Tickets issuing and distribution for the two leading entertainment venues in Italy (both members of the European Arenas Association) and a theatre
• Drafted and negotiated the key contracts for the organization of the MTV Euro Music Awards 2015
• Implemented health & security (HSE) clauses, in compliance applicable laws - followed-up with HSE Contractor - dealt with investigation following a work accident (case won)
• Developed strong relationships with key international accounts, including Nestlé, Generali and GroupM/WPP
• Led the rescue of a major deal with Nestlé and Generali RE, failure of which would have resulted in serious financial implications for all stakeholders.

Stefano graduated in 1998, discussing a dissertation concerning the "joint ventures in business law and in antitrust law" and qualifying as Top 10%. Thereafter he was hired by Università “La Sapienza” of Rome as lecturer in respect of commercial and banking law. He is author of various publications in commercial and banking law (texts available on request). Following his degree, Stefano continued on as TRAINEE LAWYER at STUDIO LEGALE CARBONETTI from 1999 to 2003, where he studied for, and successfully passed, the bar exam. Stafano is a member in good standing with the Bar of Rome.
