Supervise the Legal Team and directly reports to the GM for Legal Affairs
•Handles all legal concerns and issues faced by the company as well as its 70 other companies (LLCs, PJSC, BVI, International FZCO, Branches) within the GCC region
•Drafts, reviews, negotiates and provides legal advice on commercial leases and real estate agreements for retail and leasing commercial transactions in line with the company requirements and laws of the territory.
•Reviews ongoing company cases and provides sound legal advice to the management.
•Excellent mastery of contract management, contract review and advisory to provide legal protection and risk management to the group of companies.
•Conducts and analyzes legal research on a regular basis, provides regular training to disseminate appropriate legal information to the staff and management.
•Drafts policies and procedures, reviews existing ones and provides legal opinion in compliance with all statutory, regulatory and legal requirements.
•Reviews the progress of ongoing litigation and liaises with external lawyers.
•Participates in litigation related negotiations with the external counsels to ensure appropriate protection of company interests and requirements.
•Drafts and reviews all necessary contracts and legal documents required by the company such as, but not limited to franchise agreements, NDAs, service level agreements, facilities management agreements, sale and purchase agreements, lease agreements, e-commerce agreements, consultancy agreements, transport agreements, employer-employee related agreements, hospitality related agreements, etc. as well as their annexures and amendments, whenever necessary;
•Takes charge of trademark registration, monitors the status of applications and makes decisions in cases of refiling and re-registration of expired trademarks and trade names, and courses of action to take in cases of objections and similar issues.
•Reviews and provides legal opinion to all contracts received by clients, providing them guidance and legal advice before consummating the contracts.
•Negotiate contract terms and conditions with tenderers for works and/or services agreements and subcontracts.
•Knowledge of standard forms of contracts as per industry need.
•Prepares board resolutions, articles of association, minutes of the meeting of retained companies, MOU, MOA, SPAs, Trade Licenses, Commercial Licenses Lawsuits, Agreements, Licenses, Contracts etc.
•Responsible for research and preparation of legal analyses and legal opinions for corporate and commercial clients, individuals, banking institutions on cases in aviation law, trademark registration and other substantive and procedural intellectual property issues, mergers and acquisitions, Interpol administrative complaints and investigation, employment, employee benefits, absconding and security related cases in an advisory capacity .
•Handles construction cases, leasing, real estate development cases with emphasis on legal and regulatory requirements in structuring master communities, commercial centers and mixed-use developments.
