Advised dnata (a division of The Emirates Group) on its majority stake in DUBZ, an airport baggage technology and logistics business, allowing passengers a home check in service. This was a strategic acquisition for dnata, being the first air services provider to offer this home service.
Conducted the legal due diligence for a multi-million pound aviation company on its acquisition of the entire shared capital of a major MRO company. Transaction valued at USD 56M.
Advised Element Materials' Technology on its rebranding which included undertaking a detailed review of the company's commercial agreements and terms and conditions across the UAE, KSA, Bahrain, Qatar, Oman and the UK.
Advised GEMS Education on various corporate and commercial matters in the UAE and the wider MENA region.
Assisted on the sale of a UAE headquartered nursery group to a European nursery group. Transaction valued at USD 40M. We carried out due diligence, provided structuring advice and negotiated and completed a sale and purchase agreement and shareholders agreement.
Advised a UAE based investment company on its proposed acquisition of a GCC poultry farm, including undertaking the legal due diligence and preparing a red flag legal due diligence report, assisting with drafting the shareholders' agreement and assisting with drafting and finalising the share purchase agreement.
Assisted with the due diligence on the acquisition by GEMS Education of a UAE based digital marketing and development business. We provided structuring advice, carried out legal due diligence and drafted transaction documents through to completion.
Assisted with the proposed share sale of a Saudi based condiments' company to a major European seller. Transaction valued at USD 32M.
Advised NREC on various real estate acquisitions across the UAE, Kuwait and Pakistan.
•Advised the individual sellers on the asset sale of a UAE based health and cosmetics' company, completing the first draft asset sale and purchase agreement for the client. The transaction was valued at USD five million.
•Drafted and reviewed various commercial agreements, including but not limited to, supply of service contracts, outsourcing agreements, joint venture agreements, NDAs, terms and conditions for the purchase of goods and long term supply contracts.
•Advised an international fashion house on its acquisition of the entire issued share capital of a luxury leisurewear company.
Dubai - Corporate and Commercial Contracts
•Drafted key elements of the executive summary in respect of a proposed multi-national corporate restructure. This required compiling preliminary information, seeking advice from local counsel and tax advisers across different jurisdictions and advising on the feasibility of the proposed restructure in each jurisdiction.
•Advised a local UAE company seeking to set up an employee share sale scheme. Advised on governance and local laws and drafted the corporate documents relating to the scheme.
•Advised a UAE company on employment law matters relating to the end of service gratuity and company private pension scheme.
•Assisted with drafting director service agreements, confidentiality agreements and employee contracts.
•Advised Drake & Scull on various acquisitions of construction companies. We provided structuring advice, carried out legal due diligence and drafted transaction documents through to completion.
Commercial Contracts, Real Estate & Energy:
•Worked closely with a partner advising the Cabinet on governance rules and legislation relating to specialist data centre legislation and the regulatory framework.
•Term of the contract (exit clauses, break charges, termination provisions);
•Due diligence in respect of the transfer of assets, third party contracts;
•Part of the team advising the Crown Estate on its purchase of the Leicester site, Fosse Park, to build a retail and shopping complex.
•Advised energy developers on a multi-million pound solar energy project advising on way leave agreements, easements and undertaking investigations to remedy and advise on defects revealed on title. This involved working on cross team matters advising on matters pertaining to project finance and restructuring, planning, warranties and local authority matters relating to the transaction.
Construction Litigation:
•As part of the team advising on a multi-million pound adjudication for Nottingham Council, I assisted with drafting the Statement of Case within an accelerated adjudication process and worked extensively with experts to fact find and gather evidence within time pressured conditions.
•Briefed counsel and drafted advice on costs in relation to a Court of Appeal hearing involving developers, contractors and sub-contractors on a multi-million pound energy development dispute. Attended three days of the hearing, sat in meetings with counsel, client and witnesses and assisted with preparing the bundle for the case. Received praise from the judge presiding over the case on the 'high quality of the bundle prepared'.
Employment & Pensions:
•Played the lead role on an employment tribunal matter and successfully defended Oxfam against allegations of unfair dismissal brought by a former employee. Working under supervision, I drafted the instructions and brief to counsel, including drafting the list of issues and statements of claim. Feedback received from counsel on the brief was that it was 'amongst the best they had received'.
•Worked extensively with witnesses to attend witness meetings, prepare key witnesses for cross examination, draft witness statements, undertake disclosure and prepare the bundle for trial.
•Assisted with the drafting of pleadings and defence. I was directly involved in evidence gathering in the lead up to proceedings right through to completion on two large value employment litigation matters.
•Provided employment advice and drafted a settlement agreement for an overseas client in relation to a UK employee, under the direct supervision of the group partner. This included negotiating terms of the settlement agreement and independently leading the matter through to settlement and completion.

Birmingham Legal Advice Clinic - attended monthly clinics providing legal and commercial advice to individuals and SMEs.
Fair Trials International - volunteer case handler advising on unlawful detention of British citizens held overseas.

•Implemented changes across the business to various procedures and processes to enhance the commercial position of the company, including reviewing and amending the standard terms and conditions for the supply of services and goods.
•Instructed and working alongside external lawyers in providing a bespoke commercial legal service to all business areas becoming a ‘trusted business advisor’.
