Dragon Oil an independent oil & gas exploration and production company with assets size of US$ 4.5 billion and whose shares were traded under a dual primary listing on the Stock Exchanges in London and Dublin till it was fully acquired by Emirates National Oil Company (ENOC) in 2015.
Tax responsibilities:
Tax Leader of the Group covering several tax jurisdictions such as Ireland, UK, Malta, Turkmenistan, Algeria, Afghanistan, Iraq and Tunisia with responsibilities of:
• Developing strategies, policies & procedures, planning & risk management.
• Computing & filing of tax returns, tax reporting & compliance.
• Leading resolution of tax audit issues and liaising with advisors & local authorities.
• Advising management & other stakeholders, addressing significant tax issues, raising tax awareness.
• Providing current and deferred tax provisions in the accounts.
• Leading tax due diligence & efficient structuring for M&A deals.
Major achievements: Active role in resolution of several material tax issues in various jurisdictions, several tax & financial due diligences & tax structuring for M&A assignments (deal sizes of US$ 500 - 700 million), restructuring of the Group e.g. cross-border merger, corporate re-domiciliation within the EU, developed the Group tax policy, procedures & manuals.
Accounting responsibilities:
• Leading accounts payable function (booking of invoices & accruals, month-end closing, vendor reconciliation) for a couple years.
• Supervising financial pre-qualification and due diligence process of new vendors.
• Preparing IFRS and statutory financial statements, corporate governance reports, addressing significant accounting and auditing issues.
• Various finance & accounting tasks: financial due diligences for M&A, working capital analysis, financial modelling, reports to Management and Board of Directors.
• Developing internal finance policies, procedures & risk management.
• Supervising team consisting of three - four accountants.
Major achievements: Active role in migration to Oracle (new ERP) & improvement of payables cycle, developed financial model for Iraq & contributed to improvement of financial pre-qualification tool, working capital analysis & integration plan for unrealized merger between Dragon Oil & Petroceltic (deal size £500 million).
Responsibilities included managing audit engagements from preparing audit service proposals through to planning, executing and reporting on results. Performed IFRS and statutory audits in compliance with the firm's risk management procedures and audit methodology. Supervised as many as six staff while managing as many as three projects each involving up to three - four persons. Serviced clients included top real estate development groups in the UAE, financial service and oil trading entities.
Whilst primary clients were in Uzbekistan, also seconded to Kazakhstan and Azerbaijan to perform the audits. Supervised as many as four - six staff and serviced clients including top financial institutions, upstream oil & gas and manufacturing entities in Uzbekistan, Kazakhstan & Azerbaijan.
Furthermore, I also performed tax audits, due diligence for M&A, personal & corporate tax compliance & advisory services for multinational clients.
Courses taught included corporate finance, financial accounting, and taxation as well as supervised the pre-graduation research work of the undergraduate students.
