Manage the changes and maintenance of the group's representation on boards of directors and at Shareholders' meetings of the subsidiaries in the sub-region, including replacement of directors on an annual basis and granting of proxies for meetings.
• Prepare first drafts of Board Resolutions, Shareholder Resolutions and Powers of Attorney for all subsidiaries in the sub-region in connection with development activities as well as on-going operations (including changes in share capital, changes in authorized signatories, etc.).
• Researching and maintaining a library of the Companies Laws and free zone regulations of each jurisdiction in which the group has activities in the sub-region.
• Maintaining a database of constitutional documents, commercial registration licences and other corporate documents for all group companies in the sub-region.
• Liaising with HQ to maintain corporate databases at the HQ level and otherwise responding to requests for corporate information regarding the sub-region.
• Coordinating with Brussels HQ for issuance and delivery of parent resolutions and constitutional documents required in connection with group activities in the sub-region.
• Assisting business control in the establishment of bank accounts for the group companies in the region as well as changes to authorized signatories consistent with group policies.
• Provide support for the preparation and delivery of conditions precedent for the financing of new projects.
• Coordinating with local counsel for corporate matters in respect of the foregoing.
• Acting as secretary of Kahrabel FZE and travelling to DAFZA for all corporate and administrative matters of Kahrabel FZE, including the certification of company documents.
• Setting up and coordinating with notaries for attestation/certification of documents and travelling to the public notary with signatories.
• Coordinating for the translation of documents
• Assisted the Corporate Counsel in Management of the Legal Team and ensured timely completion of deliverables
• Drafted, negotiated and finalised a variety of government, international, and commercial contracts and subcontracts in accordance with company policies and procedures, applicable laws, and customer requirements including but not limited to Master Service Agreements, Amendments, Statement of Works, Letters of Intent, Lease Agreements, Memorandum of Understanding and Nondisclosure Agreements.

• Analyzed proposed contract terms and conditions and provided feedback to sales and customer on issues of concerns and recommended alternatives that were viable from a business Practices and revenue recognition point of view.
• Ensured all necessary approvals were obtained and pricing rules were met prior to releasing a contract to Customer
• Ensuring compliance with Oracle guidelines (pricing, revenue recognition, business practices, credit, legal, contract management, etc.).
• Supported the Senior Legal Counsel in a paralegal role in the following activities.
• Drafted and reviewed, customer, commercial and employment contracts
• Responsible for preparing Templates for various countries in the MEA region
• Worked with outside counsel and managed the formation of new offices in the MEA region

• Supported the Senior Counsel on all compliance matters as below:
Managed the Ombuds helpline, being the first point of contact, in the absence of the Senior Counsel.
Conducted preliminary counseling in some cases and assisted with the effective resolution of compliance investigations.
Conducted and effectively resolved some confidential investigations independently.
Organised the Compliance Training calendar for the region
Ensured all data and reports pertaining to compliance investigations were entered into the intranet site

Organised the Integrity Day and legal training for Employees on Spirit & Letter Policies for MEA Region
