Activities
a) Organize and set up the meetings of the General assemblies from the internal requirements until obtaining the MCI and supervises the General Assembly meeting in coordination with Senior Legal Counsel & Governance in the Legal Department and Board Secretary.
b) Prepare the General Assembly meetings’ Agenda in coordination with the Senior Legal Counsel & Governance and Board Secretary; Ensures that all the approval requirements of MCI are met and then sends the invitation (BOD, Management, External Auditor, Shareholders and any related party) to the Assembly meeting and follows up for the approval.
c) Prepare the schedules of Assemblies and defines the responsibilities of various departments and targeted completion dates. Follows up the implementation and sends periodic achievement reports to the Executive Management.
d) Prepare the requirements of the General Assembly meetings’ and sends them to third party company who operate the meetings. And get the meetings forms approved from Senior Legal Counsel & Governance in the Legal Department, Board Secretary and higher management.
e) Follow up on the Proxy's of the shareholders and BOD to attend the General Assembly meeting and ensures that they are certified by the concerned authorities.
f) Coordinate with the MCI representative at the time of the general assemblies.
g) Coordinate with Admin Department to prepare and organize the meetings hall and all related issue, and BOD reservations is confirmed.
h) Coordinate with Finance Department to prepare BOD attendance fees to BOD meetings, Shareholding Balance Confirmations and Banks requirements.
i) Keep my self aware of the laws and regulations related to the shareholders that the company needs to implement and comply with. Raises and clarifies to the Executive Management in case of any updates.
j) Identifies the risks of non-compliance related to any Investors/Stockholders Relations that may hold the company accountable by regulators and assess the financial and non-financial implications thereof.
i) Communicate and coordinate with Senior Legal Counsel & Governance as and when needed to communicate with regulatory and legislative bodies such as MCI to consider any queries that may arise concerning the Investors Relations.
j) Receive and follow up on shareholders' complaints if any and communicate it with the Governance, shareholders affairs and corporate communications Manager and the Legal Department if needed.
k) Participate in various meetings, discussions and projects within and outside the company (if needed) that have a direct or indirect relationship with shareholders or investors matters.
l) Prepare and upload all types of advertisements that the company needs to publish.
m) Periodically and regularly reviews company's website to ensure that all information related to investors are updated, in coordination with the IT Department.
n) Reviews the documents related to disbursement of dividends, prepare dividend payments not received by shareholders, update their data with the company to ensure that they are distributed through the Bank in future distributions.
o) Coordinate with Finance Department and provide them with all necessary documents required by the banks (Know Your Customer)
p) Prepare periodic reports on the activities of the Investors Relations and updates them to measure the achievements level associated with dates specified internally or externally by regulators.
q) Prepare the general assembly quorum report, update it on a daily basis and submit it to the Executive Management.
r) Prepare various reports requested by Executive management.
During that time I was assigned to view, edit and forward company letters to GOSI, SABIC, ARAMCO and Lenders
Secretary in Administration Dept. And I attended and prepared for Shareholders meetings as trainer
Public Administration
