Legal Responsibilities

• Render legal consultancy related to interpretation and application of contractual provisions with regards to construction contracts, strategic legal advice to the Joint Venture Companies, ICT contracts, telecommunications infrastructure contracts, operation and maintenance agreements, development agreements, project and concession agreements, consultancy agreements and associated interface agreements.
• Develop legal functional policies and procedures and controls encompassing implementation of legal function based on applicable procedural & legislative requirements, and ensure compliance to relevant departmental policies, processes, standard operating procedures and instructions.
• Work closely with Contract & Procurement Department, and provides advice to them on requirements for pre-tender and tender process and ensure compliance to contractual parameters and tendering process.
• Provide guidance on legal matters and regulatory audits, highlighting any areas of potential legal risk and developing policies to reduce that risk and provide guidance on compliance and legal matters to ensure the departments are operating in compliance with all applicable laws and regulations requirements.
• Manage litigation and lawsuits before judicial authorities in all cases filed by and brought against the company, by preparing, drafting, advising and coordinate (if require) with external attorneys.
• Review and study case files and prepare case strategies, and coordinate all matters related to the cases and pertinent legal strategies.
• Develop strategies and arguments in preparation for presentation of cases by examine, analyse and evaluate findings, legal data and gather evidence to initiate legal actions, and prepare legal briefs and opinions on cases and potential disputes.
• Interact with the HR department in managing Labour Law and contractual relations with the company and employees. Further I Lead the investigations Committee related to internal violations of the policies and procedures and preparing its finals reports.
• Lead, manage, supervise, coach and support Lawyers & Legal staff within the legal department.
• Interpret the Memorandum and Articles of Association of the Company and ensure compliance with the Commercial Companies Law, and ensure that the Company complies with its governing Memorandum and Articles of Association.
• Ensure the Company complies with its articles of association, constitutive documents, the Companies Law, by-laws, and all other relevant legislation and regulatory requirements.
• Review the Company's Articles of Association and by-laws as required to ensure their continued adequacy and relevance, and provide recommendations to the Board on necessary revisions and/or adjustment.
• Review and keep up-to-date on developments in corporate governance and promote strong corporate governance practices throughout the Company.
